Common use of Non-Solicitation or Hire Clause in Contracts

Non-Solicitation or Hire. During the Term and for a period of twenty-four (24) months following the termination of the Executive’s employment for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: (a) any person or entity who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to market, sell or provide to any such person or entity any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.

Non-Solicitation or Hire. During the Term and for a period of twenty-four twelve (2412) months following the termination of the ExecutiveEmployee’s employment for any reason, the Executive Employee shall not directly or indirectly solicit or attempt to solicit or induce, directly or indirectly: , (a) any person or entity party who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the ExecutiveEmployee’s employment terminates terminates, for any reasonthe purpose of marketing, to market, sell selling or provide providing to any such person or entity party any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive Employee intends to solicit any such person or entity party for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); , (b) any supplier to or customer or client of the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; , customer or client or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the ExecutiveEmployee’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive Employee, or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.

Non-Solicitation or Hire. During the Term and for a period of twenty-four six (246) months following the termination of the Executive’s employment for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: indirectly (a) solicit or induce (i) any person or entity party who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates or who is a prospective customer that has been identified and targeted by the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates, for any reasonthe purpose of marketing, to market, sell selling or provide providing to any such person or entity party any services or products offered by or available from the Company or its subsidiaries subsidiaries; or (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (bii) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; , or (cb) solicit any employee of the Company or any of its subsidiaries (a “Current Employee”) or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, (a “Former Employee”) to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive Executive, or any other person or any entity in competition with the Business of the Company or hire any of its subsidiariesCurrent Employee or Former Employee.

Non-Solicitation or Hire. During the Term and for a period of twenty-four twelve (2412) months following the termination of the Executive’s employment for any reasonreason other than due to nonrenewal of the Term by the Executive pursuant to Section 1 (subject to Section 4.3 of this Agreement), the Executive shall not directly or indirectly solicit or attempt to solicit or induce, directly or indirectly: , (a) any person or entity party who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates terminates, for any reasonthe purpose of marketing, to market, sell selling or provide providing to any such person or entity any services or products offered by or available from party women’s career and sports apparel for the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purposemoderate and better categories, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; supplier or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive Executive, or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.

Non-Solicitation or Hire. During the Term and for a period of twenty-four (24) months following the termination of the Executive’s employment Separation of Service from the Company for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: (a) any person or entity who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to market, sell or provide to any such person or entity any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive or any other person or any entity in competition with against the Business of the Company or any of its subsidiaries.

Non-Solicitation or Hire. During the Term and for a period of twenty-four (24) months following the termination of the Executive’s employment for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: (a) any person or entity who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to market, sell or provide to any such person or entity any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive or any other person or any entity in competition with the Business of the Company or any of its subsidiaries. With respect to Section 6.2 (a) above, the Executive also agrees that he will not accept the business of any such person or entity described in that provision for the time period specified therein.

Non-Solicitation or Hire. During the Term and for a period of twenty-four (24) months following the termination of the Executive’s employment Separation of Service with the Company for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: (a) any person or entity who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to market, sell or provide to any such person or entity any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.

Non-Solicitation or Hire. During the Term and for a period of twenty-four six (246) months following the termination of the Executive’s employment for any reason, the Executive shall not not, directly or indirectly (i) solicit or attempt to solicit or induce, directly or indirectly: (a) , any person or entity party who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates terminates, for any reasonthe purpose of marketing, to market, sell selling or provide providing to any such person or entity party any services or products offered by or available from the Company or its subsidiaries (provided or services or products that if the Executive intends were contemplated or planned to solicit any such person or entity for any other purpose, he shall notify be offered by the Company or any of such intention and receive prior written approval from its subsidiaries during the CompanyTerm of Executive’s employment); , (b) solicit or attempt to solicit or induce, directly or indirectly, any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or , (c) hire, directly or indirectly, any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for terminates, or (d) solicit or attempt to solicit, directly or indirectly, any reasonperson who was an employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the termination of Executive’s employment, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, and/or to enter into a similar relationship with the Executive Executive, or any other person or any entity in competition with the Business of the Company other person or any of its subsidiariesentity.

During the Term Employment Period and for a period of twenty-four twelve (2412) months following the termination of the Executive’s 's employment for any reason, the Executive shall not directly or indirectly (a) solicit or attempt to solicit or induce, directly or indirectly: (a) induce any person or entity party who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s 's employment terminates terminates, for any reasonthe purpose of marketing, to market, sell selling or provide providing to any such person or entity party any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity party for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); , (b) solicit or attempt to solicit or induce any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; supplier or (c) solicit or attempt to solicit or induce any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s 's employment terminates for any reason, (a “Former Employee”) to terminate such employee’s 's employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive Executive, or any other person or entity or hire any entity in competition with the Business employee of the Company or any of its subsidiariessubsidiaries or any Former Employee on Executive's own behalf or on behalf of any other person or entity.

During the Term and for a period of twenty-four (24) months following the termination of the Executive’s employment for any reason, the Executive shall not solicit or attempt to solicit or induce, directly or indirectly: (a) any person or entity who is a customer of the Company or its subsidiaries, or who was a customer of the Company or its subsidiaries at any time during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to market, sell or provide to any such person or entity any services or products offered by or available from the Company or its subsidiaries (provided that if the Executive intends to solicit any such person or entity for any other purpose, he shall notify the Company of such intention and receive prior written approval from the Company); (b) any supplier to the Company or any subsidiary to terminate, reduce or alter negatively its relationship with the Company or any subsidiary or in any manner interfere with any agreement or contract between the Company or any subsidiary and such supplier; or (c) any employee of the Company or any of its subsidiaries or any person who was an employee of the Company or any of its subsidiaries during the twelve (12) month period immediately prior to the date the Executive’s employment terminates for any reason, to terminate such employee’s employment relationship with the Protected Parties in order, in either case, to enter into a similar relationship with the Executive or any other person or any entity in competition with the Business of the Company or any of its subsidiaries.
