Non-solicitation of Customers or Employees. (1) Executive (i) while employed by the Company or any of its affiliates shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within the 24 month period immediately preceding the beginning of the Restricted Period.

Non-solicitation of Customers or Employees. Executive agrees that, during the 18-month period following any Termination of Executive's employment (whether such termination is covered by this Agreement or otherwise), Executive shall not, without the express written consent of Bank, directly or indirectly, either for Executive or for any other person, entity or company, (i) solicit the business enjoyed by the Bank with any person or business that was a Customer; or (ii) approach or solicit any person who was employed at the Bank as of the date of Executive's termination and with whom the Executive had material contact during the Executive's employment with the Bank, with a view to hiring such employee, persuading such employee to leave the employment of Bank, or actually hire an employee of the Bank for any other entity.

Non-solicitation of Customers or Employees. During the term of the Executive’s employment with the Company or any Affiliate and for a period of two years after the termination of such employment for any reason, the Executive shall not, directly or indirectly, as an officer, employee, consultant, agent, partner, joint venturer or owner of any other person, firm or other entity which is engaged in any business which is competitive with the business of the Company or any of its Affiliates, (a) initiate contact with, solicit or cause the solicitation of any current, former or prospective customer of the Company or any Affiliate with which the Executive had direct or indirect contact as an employee of the Company during the eighteen month period preceding the Executive’s termination of employment with the Company or any Affiliate or regarding which the Executive has Proprietary Information or (b) contact, solicit or cause the solicitation of any employee of the Company or any Affiliate the product of which is intended or likely to yield a termination of, or otherwise materially adversely affect, the relationship of such employee with the Company or any Affiliate. Notwithstanding the foregoing, the restrictions contained in this Section 8 shall terminate and be of no further force or effect upon the occurrence of a Change in Control, regardless of whether such Change in Control occurs prior to the termination of the Executive’s employment with the Company or an Affiliate or following such termination and during the period such restrictions would otherwise be applicable.

Non-solicitation of Customers or Employees. Executive agrees that, during the term of this Agreement and for a period of two years thereafter, he will not knowingly, directly or indirectly, for himself or for any other person or entity, divert, call on, solicit, or take away or attempt to divert, call on, solicit or take away present or actively solicited prospective employees or, with respect to competitive products or services, any present or actively solicited prospective suppliers or customers of the Company or any of its subsidiaries or affiliates.

Non-solicitation of Customers or Employees. For a period of 12 months following termination of Executive’s employment with Merchants (or the relevant subsidiary of Merchants, as applicable), including Termination or any voluntary termination, Executive will not, directly or indirectly, either for Executive or for any other Person, (i) solicit, induce, or attempt to induce any client, customer, or other business relation (whether (A) current, (B) former, within the 6 months after such relationship has been terminated, or (C) prospective, provided that there are demonstrable efforts or plans to establish such relationship known to Executive) of Merchants or any of its subsidiaries to cease doing business or to reduce the amount of business they have customarily done or contemplate doing with Merchants or its subsidiaries, whether or not the relationship therewith was originally established, in whole or in part, through Executive’s efforts, or in any way interfere with such relationship (provided, however, the restrictions of this Section 11(b)(i) only apply to commercial banking, mortgage lending, or any similar lending or banking services provided by Merchants or any of its subsidiaries on the date of Termination or voluntary termination, as applicable); or (ii) approach or solicit any person who was employed at Merchants or any of its subsidiaries as of the date of Termination and with whom Executive had material contact during Executive’s employment with Merchants or its subsidiary, with a view to hiring such employee or persuading such employee to leave the employment of Merchants.
Non-solicitation of Customers or Employees. (1) Green (i) while providing services to the Company or any of its affiliates shall not, on Green’s own behalf or on behalf of any person, firm, partnership, association, corporation, or business organization, entity, or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on Green’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom Green, in the case of both clauses (i) and (ii) above, had or made material business contact within the course of Green’s service by the Company within the 24-month period immediately preceding the beginning of the Restricted Period.
