Non-Receipt of Funds by the Administrative Agent. Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (a) in the case of a Lender, the proceeds of a Loan or (b) in the case of any Borrower, a payment of principal, interest fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest and premium, if any, thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such the first five days and the interest rate applicable to the relevant Loan for each day thereafter or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on time at which it is scheduled to make payment to the Administrative Agent on behalf of the Lenders of (ai) in the case of a Lender, the proceeds of a Loan or (bii) in the case of any the Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan. If such Lender so repays such amount and interest thereon to the Administrative Agent within one Business Day after such demand, all interest accruing on the Loan not funded by such Lender during such period shall be payable to such Lender when received from the Borrower.

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (a) in the case of a Lender, the proceeds of a Revolving Loan or (b) in the case of any the Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (iy) in the case of payment by a Lender, the greater of the Federal Funds Effective Rate for such day and a rate determined by the Administrative Agent in accordance with banking industry rules on interbank compensation or (iiz) in the case of payment by a the Borrower, the interest rate applicable to the relevant LoanRevolving Loans.

If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ia) in the case of payment repayment by a Lender, the Federal Funds Effective Rate for such day or (iib) in the case of payment repayment by a the Borrower, the interest rate applicable to the relevant Syndicated Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan Loan, or (bii) in the case of any the Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended ultimate recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the ultimate recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by a Lender, the Federal Funds Effective Rate for such day for the first three days and, thereafter, the interest rate applicable to the relevant Loan, or (iiy) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (a) in the case of a Lender, the proceeds of a Revolving Loan or (b) in the case of any the Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant Loan.of

If such Lender or the applicable BorrowerWhirlpool, as the case may be, has not in fact made such scheduled payment to the Administrative Agent, the recipient of such scheduled payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by such a repayment due from a Lender, the Federal Funds Effective Rate for such day day, or (iiy) in the case of payment by such a Borrowerrepayment due from Whirlpool, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent (including, without limitation, any payment pursuant to Section 12.4) of (a) in the case of a Lender, the proceeds of a Loan or (b) in the case of any a Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. (a) Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent shall have been notified in writing by the Borrower, prior to the date on which any payment is due from it is scheduled to make payment to hereunder (which notice shall be effective upon receipt) that the Administrative Agent of (a) in the case of a Lender, the proceeds of a Loan or (b) in the case of any Borrower, a payment of principal, interest fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it Borrower does not intend to make such payment, the Administrative Agent may assume that the Borrower has made or will make such payment has been made. The when due, and the Administrative Agent may, may in reliance upon such assumption (but shall not be obligated required to, ) make available to each Lender on such payment date an amount equal to the amount portion of such assumed payment available to the intended recipient in reliance upon such assumption. If which such Lender or is entitled hereunder, and if the applicable Borrower, as the case may be, Borrower has not in fact made such payment to the Administrative Agent, the recipient of such payment Lender shall, on demand by the Administrative Agentdemand, repay to the Administrative Agent the amount so made available together with to such Lender. If such amount is repaid to the Administrative Agent on a date after the date such amount was made available to such Lender, such Lender shall pay to the Administrative Agent on demand interest thereon on such amount in respect of each day during the period commencing on from the date such amount was so made available by the Administrative Agent until to such Lender to the date such amount is recovered by the Administrative Agent recovers such amount at a rate per annum rate equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant LoanRate.

Non-Receipt of Funds by the Administrative Agent. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (iy) in the case of payment by a Lender, the Federal Funds Effective Rate for such day for the first three (3) days and, thereafter, the interest rate applicable to the relevant Loan or (iiz) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. (a) Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent shall have been notified in writing by any Lender prior to a borrowing that such Lender will not make the date on which it is scheduled to make payment amount that would constitute its share of such borrowing available to the Administrative Agent of (a) in the case of a Lender, the proceeds of a Loan or (b) in the case of any Borrower, a payment of principal, interest fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such paymentAgent, the Administrative Agent may assume that such payment has been made. The Lender is making such amount available to the Administrative Agent, and the Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption, make available to the Borrower a corresponding amount. If such amount is not made available to the Administrative Agent by the required time on the Borrowing Date therefor, such Lender or the applicable Borrower, as the case may be, has not in fact made such payment shall pay to the Administrative Agent, the recipient of on demand, such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount thereon, at a rate per annum equal to the greater of (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or and (ii) a rate determined by the Administrative Agent in accordance with banking industry rules on interbank compensation, for the period until such Lender makes such amount immediately available to the Administrative Agent. A certificate of the Administrative Agent submitted to any Lender with respect to any amounts owing under this paragraph shall be conclusive in the case absence of payment manifest error. If such Lender’s share of such borrowing is not made available to the Administrative Agent by a Borrowersuch Lender within three Business Days after such Borrowing Date, the Administrative Agent shall also be entitled to recover such amount with interest thereon at the rate per annum applicable to Floating Rate Loans, on demand, from the relevant LoanBorrower.

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan or (bii) in the case of any Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such Sidley Xxxxxx Xxxxx & Xxxx payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower or a Lender, as the case may be, notifies the Administrative Agent shall have been notified by a Lender or the Borrower (the "Payor") prior to the date on which it such Lender is scheduled to make payment to the Administrative Agent of (a) in hereunder or the case of a Lender, the proceeds of a Loan or (b) in the case of any Borrower, Borrower is to make a payment of principal, interest fees or other Obligations to the Administrative Agent for the account of any one or more of the Lenders, as the case may be (such payment being herein called the "Required Payment"), which notice shall be effective upon receipt, that it the Payor does not intend to make such paymentthe Required Payment to the Administrative Agent, the Administrative Agent may assume that such payment the Required Payment has been made. The Administrative Agent made and may, in reliance upon such assumption (but shall not be obligated required to), make the amount of such payment thereof available to the intended recipient in reliance upon on such assumption. If such Lender or date and, if the applicable Borrower, as the case may be, Payor has not in fact made such payment the Required Payment to the Administrative Agent, the (a)the recipient of such payment shall, on demand by the Administrative Agentdemand, repay pay to the Administrative Agent the amount so made available to it together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or period and (ii) in the case of payment by a Borrowerb)Administrative Agent shall be entitled to offset against any and all sums to be paid to such recipient, the interest rate applicable to amount calculated in accordance with the relevant Loanforegoing clause (a).

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower Borrowing Entity or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan or an Unreimbursed Amount or (bii) in the case of any Borrowera Borrowing Entity, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable BorrowerBorrowing Entity, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a BorrowerBorrowing Entity, the interest rate applicable to the relevant LoanLoan (or, in the case of fees, the Alternate Base Rate).

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan or (bii) in the case of any the Borrower, a payment of principal, principal or interest fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient Recipient or Recipients in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient Recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in for the case of payment by a Borrowerfirst three days and, thereafter, at the interest rate applicable to the relevant LoanAlternate Base Rate plus 2%.

Non-Receipt of Funds by the Administrative Agent. Unless a the Borrower or a the applicable Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan or (bii) in the case of any the Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the applicable Lenders, that it does not intend to make such scheduled payment, the Administrative Agent may assume that such scheduled payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such scheduled payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such scheduled payment to the Administrative Agent, the recipient of such scheduled payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by such a repayment due from a Lender, the Federal Funds Effective Overnight Base Rate for such day day, or (iiy) in the case of payment by such a repayment due from the Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest and premium, if any, thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such the first five days and the interest rate applicable to the relevant Loan for each day thereafter or (ii) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. If such Lender or the applicable Borrower, as the case may be, has not in fact made such scheduled payment to the Administrative Agent, the recipient of such scheduled payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by a Lender, the Federal Funds Effective Rate for such day if paid within two (2) Business Days, and thereafter at the Alternate Base Rate, or (iiy) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower the Company or a LenderBank, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (a) in the case of a LenderBank, the proceeds of a Loan or (b) in the case of any Borrowerthe Company, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the LendersBanks, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such payment available to the intended recipient in reliance upon such assumption. If such Lender Bank or the applicable BorrowerCompany, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount amounts so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a LenderBank, the Federal Funds Effective Rate for such day (as determined by the Administrative Agent) or (ii) in the case of payment by a Borrowerthe Company, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a the Borrower, the interest rate applicable to the relevant Loan. If such Lender so repays such amount and interest thereon to the Administrative Agent within one (1) Business Day after such demand, all interest accruing on the Loan not funded by such Lender during such period shall be payable to such Lender when received from the Borrower.

Non-Receipt of Funds by the Administrative Agent. Unless a Borrower the Company or a LenderBank, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (a) in the case of a LenderBank, the proceeds of a Loan or (b) in the case of any Borrowerthe Company, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the LendersBanks, that it does not intend to make such payment, the Administrative Agent may assume that such payment has been made. If such Lender Bank or the applicable BorrowerCompany, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a LenderBank, the Federal Funds Effective Rate for such day or (ii) in the case of payment by a Borrowerthe Company, the interest rate applicable to the relevant Loan.

If such Lender or the applicable Borrower, as the case may be, has not in fact made such payment to the Administrative Agent, the recipient of such payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by a Lender, the Federal Funds Effective Rate for such day or (iiy) in the case of payment by a the Borrower, the interest rate applicable to the relevant Syndicated Loan., including pursuant to Section 2.12. ------------

The Administrative Agent may, but shall not be obligated to, make the amount of such scheduled payment available to the intended recipient in 30 reliance upon such assumption. If such Lender or the applicable BorrowerWhirlpool, as the case may be, has not in fact made such scheduled payment to the Administrative Agent, the recipient of such scheduled payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by such a repayment due from a Lender, the Federal Funds Effective Rate for such day day, or (iiy) in the case of payment by such a Borrowerrepayment due from Whirlpool, the interest rate applicable to the relevant Loan.

Non-Receipt of Funds by the Administrative Agent. Unless a the applicable Borrower or a Lender, as the case may be, notifies the Administrative Agent prior to the date on which it is scheduled to make payment to the Administrative Agent of (ai) in the case of a Lender, the proceeds of a Loan or (bii) in the case of any a Borrower, a payment of principal, interest or fees or other Obligations to the Administrative Agent for the account of any of the Lenders, that it does not intend to make such scheduled payment, the Administrative Agent may assume that such scheduled payment has been made. The Administrative Agent may, but shall not be obligated to, make the amount of such scheduled payment available to the intended recipient in reliance upon such assumption. If such Lender or the applicable Borrower, as the case may be, has not in fact made such scheduled payment to the Administrative Agent, the recipient of such scheduled payment shall, on demand by the Administrative Agent, repay to the Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by the Administrative Agent until the date the Administrative Agent recovers such amount at a rate per annum equal to (ix) in the case of payment by such a repayment due from a Lender, the Federal Funds Effective Rate for such day day, or (iiy) in the case of payment by such a repayment due from a Borrower, the interest rate applicable to the relevant Loan.
