Non-Diversion. During the Employment Period and for one year after the Date of Termination, Employee shall not directly or indirectly or by aid to others, do anything which could be expected to divert from Xxxxxxxx any trade or business with any customer of Xxxxxxxx with whom Employee had any contact or association during the one year immediately preceding the Date of Termination.
Non-Diversion. During the Employment Period, and for a period of eighteen (18) months after the date of termination of Executive's employment with the Company, Executive shall not divert or attempt to divert or take advantage of or attempt to take advantage of any actual or potential business or opportunities of the Company or its subsidiaries or affiliates which Executive became aware of as the result of his employment with the Company.
Non-Diversion. You agree that you will not, directly or indirectly, either for yourself or for any other person, firm or corporation, solicit or attempt to divert any Westaff customer or recruit any Westaff employee during your Westaff employment and for a period of one year thereafter. For purposes of this paragraph, a Westaff customer is defined as any person, firm or corporation that Westaff has serviced within one year preceding the termination of your employment and with whom you have had contact on behalf of Westaff, and a Westaff employee is defined as any person who has received salary or wages from Westaff within one year preceding the termination of your employment. Non-Diversion. Executive agrees that, during the Restricted Period, regardless of whether, or on what basis, Executive’s employment is terminated or any claim that Executive may have against the Company under this Agreement or otherwise, Executive shall not, directly or indirectly, be employed or engaged as an independent contractor or otherwise by any person or entity that, during the Employment Period, was an actual or potential Customer of Company to perform services the same or similar to those Executive provided to Company and/or the Company provided or offered to provide to such actual or potential Customer.
Non-Diversion. 5.1 Save as otherwise provided under this Agreement, Licensee shall not Exploit Licensed Product outside of the Field or outside of the Territory where such Exploitation would infringe an AbbVie Patent granted and in force. Save as otherwise provided under this Agreement, Licensee shall not Exploit Licensed Compounds except in the course of activities supporting the Exploitation of Licensed Product where such Exploitation of Licensed Compounds would infringe an AbbVie Patent granted and in force.
Non-Diversion. 8.1 Except as provided under this Agreement and to the extent that such restrictions comply with applicable law, the Licensee shall not, directly or indirectly, donate, distribute, sell or supply:

For the period during which the Covenant Not to Compete binds the Members pursuant to Section 4.4(a) each of the Members shall not, and shall cause their Affiliates not to, divert or attempt to divert or take advantage of or attempt to take advantage of any actual or potential business or opportunities of Buyer or its Affiliates of which any of the Members become aware as the result of their affiliation with the Business or their relationship with Buyer or its Affiliates and which relate specifically to the Business, or any part thereof. This Section 4.4(c) is in addition to and not by way of limitation of any other duties the Members may have to Buyer or its Affiliates.
Non-Diversion. Client agrees that during the term of this Agreement and for a period of one year following the termination of this Agreement, Client will not recruit or hire any employee, agent, representative or subcontractor of the Company (“The Company Personnel”), nor will Client directly or indirectly contact or communicate with the Company Personnel for the purpose of soliciting or inducing such The Company Personnel (a) to accept employment with, or perform work for any person, firm, or entity other than The Company; or (b) to provide services to Client or any other person, firm or entity except as an employee or representative of the Company. Client agrees that, in the event of a breach or threatened breach of this provision, in addition to any remedies at law, The Company, without posting any bond, shall be entitled to obtain equitable relief in the form of specific performance, a temporary restraining order, a temporary or permanent injunction or any other equitable remedy which may then be available.
Non-Diversion. Seller shall not take advantage of, or attempt to take advantage of, any actual or potential business or opportunities of Seller of which Seller becomes aware as the result of its affiliation with the Business or its relationship with the Buyer and which relate specifically to the business or any part thereof.
