Common use of Non-Disclosure Clause in Contracts

Non-Disclosure. Contractor shall hold Confidential Information in confidence, using at least the industry standard of confidentiality, and shall not copy, reproduce, sell, assign, license, market, transfer or otherwise dispose of, give, or disclose Confidential Information to third parties or use Confidential Information for any purposes whatsoever other than what is necessary to the performance of Orders placed under this Master Agreement. Contractor shall advise each of its employees and agents of their obligations to keep Confidential Information confidential. Contractor shall use commercially reasonable efforts to assist Purchasing Entity in identifying and preventing any unauthorized use or disclosure of any Confidential Information. Without limiting the generality of the foregoing, Contractor shall advise Purchasing Entity, applicable Participating Entity, and the Lead State immediately if Contractor learns or has reason to believe that any person who has had access to Confidential Information has violated or intends to violate the terms of this Master Agreement, and Contractor shall at its expense cooperate with Purchasing Entity in seeking injunctive or other equitable relief in the name of Purchasing Entity or Contractor against any such person. Except as directed by Xxxxxxxxxx Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Except as directed by Xxxxxxxxxx Purchasing Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination or expiration of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Non-Disclosure. Contractor shall agrees to hold Confidential Information in confidence, using at least the industry standard same degree of confidentialitycare that Contractor uses in maintaining the confidentiality of its own confidential information, and shall not to copy, reproduce, sell, assign, license, market, transfer or otherwise dispose of, give, or disclose Confidential Information to third parties (other than its subcontractors), or use Confidential Information for any purposes whatsoever other than what is necessary the provision of Services to the performance of Orders placed under this Master Agreement. Contractor shall Agency hereunder, and to advise each of its employees and agents of their obligations to keep Confidential Information confidential. Contractor shall use commercially reasonable efforts to assist Purchasing Entity Agency in identifying and preventing any unauthorized use or disclosure of any Confidential Information. Without limiting the generality of the foregoing, Contractor shall advise Purchasing Entity, applicable Participating Entity, and Agency immediately in the Lead State immediately if event Contractor learns or has reason to believe that any person who has had access to Confidential Information has violated or intends to violate the terms of this Master Agreement, Contract and Contractor shall will at its expense cooperate with Purchasing Entity Agency in seeking injunctive or other equitable relief in the name of Purchasing Entity Agency or Contractor against any such person. Except Contractor agrees that, except as directed by Xxxxxxxxxx EntityAgency, Contractor will not at any time during or after the term of this Master Agreement Contract disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master AgreementContract, and that upon termination of this Master Agreement Contract or at Purchasing EntityAgency’s request, Contractor shall will turn over to Purchasing Entity Agency all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assuranceAssurance, audits and evidence of performance of the Services. Identity Theft. In the performance of the Agreement or Purchase Order Contract, Contractor may have possession or access to documents, records or items that contain “Personal Information” as that term is used in ORS 646A.602(11), including Social Security numbers. Personal Information is a type of Confidential Information that is highly sensitive and subject to additional protection. Therefore, prior to the receipt of, and during the period in which Contractor has possession of or access to, any Personal Information, Contractor shall have in place, a formal written information security program that provides safeguards to protect Personal Information from loss, theft, and disclosure to unauthorized persons, as required by the Oregon Consumer Identity Theft Protection Act, ORS 646A.600-646A.628. In addition to and without limiting the generality of Sections 7.1 and 7.2, Contractor shall not breach or permit breach of the security of any Personal Information that is contained in any document, record, compilation of information or other item to which Contractor receives access, possession, custody or control under this Contract. Contractor shall not disclose, or otherwise permit access of any nature, to any unauthorized person, of any such Personal Information. Contractor shall not use, distribute or dispose of any Personal Information other than expressly permitted by DAS, the Authorized Purchaser, required by applicable law, or required by an order of a tribunal having competent jurisdiction. Contractor shall promptly report to the Agency any breach of security, use, disclosure, theft, loss, or other unauthorized access of any document, record, compilation of information or other item that contains Personal Information to which the Contractor receives access, possession, custody or control in the performance of this Master Agreement or Purchase Order contract. Contractor shall require the compliance of its employees and agents with this Section Security Policies / Non-Disclosure Agreement. Contractor at all times shall comply with Agency’s security policies [are attached as Exhibit or made available to Contractor]. Contractor shall upon Agency’s request provide a written non disclosure agreement and obtain such from Contractor’s employees or subcontractors performing Services under this Contract including the Maintenance and Support Agreement included as Exhibit K. Injunctive Relief. Contractor acknowledges that breach of this Article 7, including disclosure of any Confidential Information, will cause irreparable injury to Agency that is inadequately compensable in damages. Accordingly, Agency may seek and obtain injunctive relief against the breach or threatened breach of the foregoing undertakings, in addition to any other legal remedies that may be available. Contractor acknowledges and agrees that the covenants contained herein are necessary for the protection of the legitimate business interests of Agency and are reasonable in scope and content.

Except as directed by Xxxxxxxxxx Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits audits, and evidence of the performance of this Master Agreement.

Except as directed by Xxxxxxxxxx Purchasing Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Except as directed by Xxxxxxxxxx Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Non-Disclosure. Contractor shall hold Confidential Information in confidence, using at least the industry standard of confidentiality, and shall not copy, reproduce, sell, assign, license, market, transfer or otherwise dispose of, give, or disclose Confidential Information to third parties or use Confidential Information for any purposes whatsoever other than what is necessary to the performance of Orders placed under this Master Agreement. Contractor shall advise each of its employees and agents of their obligations to keep Confidential Information confidential. Contractor shall use commercially reasonable efforts to assist Purchasing Entity in identifying and preventing any unauthorized use or disclosure of any Confidential Information. Without limiting the generality of the foregoing, Contractor shall advise Purchasing Entity, applicable Participating Entity, and the Lead State immediately if Contractor learns or has reason to believe that any person who has had access to Confidential Information has violated or intends to violate the terms of this Master Agreement, and Contractor shall at its expense cooperate with Purchasing Entity in seeking injunctive or other equitable relief in the name of Purchasing Entity or Contractor against any such person. Except as directed by Xxxxxxxxxx Purchasing Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon termination of this Master Agreement or at Purchasing Entity’s request, Contractor shall turn over to Purchasing Entity Entity, or destroy all documents, papers, and other matter in Contractor's possession that embody Confidential Information. Notwithstanding the foregoing, Contractor may keep one copy of such Confidential Information necessary for quality assurance, audits and evidence of the performance of this Master Agreement.

Non-Disclosure. Contractor The Consultant shall hold Confidential Information in strict confidence, using at least the industry standard same degree of confidentialitycare that the Consultant uses in maintaining the confidentiality of its own confidential information, and shall not not, without Owner’s prior written consent, copy, reproduce, sell, assign, license, market, transfer or otherwise transfer, dispose of, give, disclose, or disclose Confidential Information to third parties or otherwise use Confidential Information for any purposes whatsoever other than what is necessary to outside of the performance scope of Orders placed under Services of this Master AgreementContract and any Supplements. Contractor The Consultant shall advise each of its employees employees, Sub-Consultants, and agents of their obligations to keep Confidential Information confidential. Contractor The Consultant shall use commercially reasonable efforts to assist Purchasing Entity Owner in identifying and preventing any unauthorized use or disclosure of any Confidential Information. Without limiting the generality of the foregoing, Contractor The Consultant shall advise Purchasing Entity, applicable Participating Entity, and the Lead State Owner immediately if Contractor the Consultant learns or has reason to believe that any person who has had access to Confidential Information has violated or intends to violate the terms of this Master AgreementSection 31(J), and Contractor shall the Consultant shall, at its expense expense, cooperate with Purchasing Entity Owner in seeking injunctive or other equitable relief in the name of Purchasing Entity or Contractor Owner against any such person. Except as directed by Xxxxxxxxxx Entity, Contractor will not at any time during or after the term of this Master Agreement disclose, directly or indirectly, any Confidential Information to any person, except in accordance with this Master Agreement, and that upon Upon termination of this Master Agreement Contract and any Supplement, or at Purchasing EntityOwner’s request, Contractor the Consultant shall turn over to Purchasing Entity Owner all documents, papers, and other matter materials in Contractorthe Consultant's possession that embody contain Confidential Information. Notwithstanding In the foregoingevent Consultant is required to disclose Confidential Information pursuant to a subpoena or other legal process, Contractor may keep one copy the Consultant shall immediately notify Owner of such Confidential Information subpoena or other legal process, provide Owner with copies of all related documentation, including the subpoena or other request for disclosure, and otherwise cooperate with Owner. In the event Owner decides not to oppose such subpoena or other legal process or Owner’s decision to oppose the subpoena or legal process has not been successful, the Consultant shall be excused from the requirements of this provision to the extent necessary for quality assurance, audits and evidence to meet the demands of the performance subpoena or other legal process requesting disclosure of this Master AgreementConfidential Information.
