No Use or Disclosure. EMPLOYEE agrees not to use or disclose, directly or indirectly, any Confidential Information and/or Trade Secrets of TUGBOAT at any time or in any manner, except as required and expressly authorized in the course of employment with TUGBOAT. The obligations of this Paragraph are continuing and shall survive the termination of EMPLOYEE's employment with TUGBOAT for two (2) years.
No Use or Disclosure. Each party agrees to hold in confidence, not to use and not to disclose or reveal to any person or entity the Confidential Information received hereunder without the clear and express prior written consent of a duly authorized representative of the disclosing party. Each party agrees that it shall only be permitted to use the other party's Confidential Information to the limited extent necessary to fulfill its obligations under this Agreement.
No Use or Disclosure. Employee shall not use or disclose (directly or indirectly) any Confidential Information (whether or not created or developed by Employee) at any time or in any manner, except as required in the course of employment with Emulex. Employee acknowledges that, except as set forth on an exhibit attached by Employee to this Agreement, Employee is not a party to any agreement with any other entity which either (1) restricts Employee's use or disclosure of any information gained or learned by Employee from the entity or while employed by the entity, or (2) otherwise relates to Employee's use or disclosure of any confidential information or trade secrets of the entity. Employee represents that no entity has asserted or is asserting that Employee has breached any of the terms or provisions of any of the agreements listed on the attached exhibit. The obligations of this Paragraph are continuing and survive the termination of Employee's employment with Emulex.
No Use or Disclosure. Without Company's prior written authorization, Executive shall not communicate, use, divulge, or disclose to any other person, firm or entity any Confidential Information or any copy, reproduction or summary thereof, in any manner, at any time, whether during or after the Term other than as expressly required in the performance of any party's obligations to Company, or as required by law.
No Use or Disclosure. Without the Company's prior written consent in each instance, Consultant agrees not to use or disclose, directly or indirectly, any Confidential Information in any manner, at any time, other than as expressly required by the Company in connection with the services Consultant performs under this Agreement.
No Use or Disclosure. I will not use, copy, destroy or disclose any Confidential Information of which I become aware during the course of my employment or at any time thereafter, except as reasonably required to perform the regular duties of my employment. This includes, without limitation, exploiting, exercising judgment or performing analysis, directly or indirectly based upon knowledge of Confidential Information. I will take all steps required by policies of the Corporation and which are otherwise reasonably necessary to prevent the unauthorized disclosure of any of the Confidential Information to any person, firm, corporation or other entity (“Person”), except to other employees of the Corporation who require such Confidential Information to perform their duties and responsibilities and authorized service providers of the Corporation, whether as a result of casual observation, unauthorized perusal, or other abuse. I will immediately notify the Corporation if any of the Confidential Information in my power, possession or control is lost, stolen, compromised or otherwise ceases to be in my power, possession or control. I understand that the deliberate or grossly negligent violation of this Section 2 during my employment shall result in immediate dismissal from my employment for cause.

Recipient will only use Confidential Information for the purposes of this Agreement and will not reproduce, disseminate, or disclose Confidential Information to any person, except to its and its Affiliates’ directors, officers, employees and authorized representatives (e.g., temporary employees, consultants, and contractors) who need to know the Confidential Information for the purposes of this Agreement and are bound by confidentiality obligations at least as restrictive as those in this Section 6. Recipient will treat all Confidential Information with at least the same degree of care as it treats its own information of similar sensitivity, but never with less than reasonable care.
No Use or Disclosure. In consideration of Executive's employment by Company, Executive agrees that, unless Executive has received the prior written consent of Company in each instance, whether during the Term or after the Executive's employment with Company has terminated, Executive shall not use Confidential Information for any purpose not related to the business interests of Company, and shall not directly or indirectly disclose or communicate any Confidential Information to any person except as required to perform Executive's duties for Company. If any Confidential Information or Company Materials are sought by legal process, Executive agrees to notify Company promptly in writing and to cooperate with Company to preserve the confidentiality of such information in connection with any legal proceeding. If Executive becomes aware of any unauthorized use, disclosure or communication of Confidential Information by anyone, Executive agrees to inform Executive's supervisor immediately.
