Neither this Agreement, the Loan Documents nor any other document, certificate or statement furnished or to be furnished by the Borrower or by any other party to the Bank in connection herewith contains, or at the time of delivery will contain, any untrue statement of a material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein and therein not misleading.

The Borrower has furnished to each Bank true, correct and complete copies of the Acquisition Agreement and all exhibits and agreements thereto and all documents related thereto.
