No Unlawful Payments. Neither the Company nor any of its subsidiaries, nor, to the knowledge of the Company, any director, officer, agent, employee or other person associated with or acting on behalf of the Company or any of its subsidiaries, has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

No Unlawful Payments. No Unlawful Payments. Neither the Company nor any of its subsidiaries, nor, to the knowledge None of the Company, Antero Entities nor any director, officer, or employee thereof, or, to the Antero Entities’ knowledge, any agent, employee affiliate or other person associated with or acting on behalf of the Company or any of its subsidiariesAntero Entities, has (i) used any corporate its funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

No Unlawful Payments. Neither the Company Issuer nor any of its subsidiaries, subsidiaries nor, to the knowledge of the CompanyIssuer and the Guarantors, any director, officer, agent, employee or other person associated with or acting on behalf of the Company Issuer or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment; except as disclosed in the Time of Sale Information.

No Unlawful Payments. Neither the Company Parent nor any of its subsidiaries, subsidiaries nor, to the knowledge of the CompanyIssuer and the Guarantors, any director, officer, agent, employee or other person associated with or acting on behalf of the Company Parent or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

No Unlawful Payments. Neither the Company Operating Partnership nor any of its subsidiaries, subsidiaries nor, to the knowledge of the CompanyOperating Partnership, any director, officer, agent, employee or other person associated with or acting on behalf of the Company Operating Partnership or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; or (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

No Unlawful Payments. Neither the Company Parent nor any of its subsidiaries, subsidiaries nor, to the best knowledge of each of the CompanyAntero Entities, any director, officer, agent, employee or other person associated with or acting on behalf of the Company Parent or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

Neither the Company nor any of its subsidiaries, subsidiaries nor, to the knowledge of the Company, any director, officer, agent, employee employee, controlled affiliate or other person associated with or acting on behalf of the Company or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

Neither the Company nor any of its subsidiaries, subsidiaries nor, to the knowledge of the Company, any director, officer, employee or authorized agent, employee or other person associated with or in each case, acting on behalf of the Company or any of its subsidiaries, subsidiaries has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977; (iv) violated or is in violation of any provision of the Xxxxxxx Xxx 0000 of the United Kingdom; or (v) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment.
