No Solicitation of Company Employees. The Executive shall not, during the period of his employment and for a period of six months afterwards, solicit, induce or actively encourage any persons then employed by the Company or any of its Affiliates to leave the employment of such entity. Nothing in this Section shall prohibit or in any way limit the Executive's right to employ and/or discuss terms of employment with any persons who seek employment and/or initiate discussions, if that action occurs subsequent to the Executive's termination of employment and off the business premises of the Company.
No Solicitation of Company Employees. The Optionee agrees that, prior to the Closing and, in the event that this Agreement is terminated, for a period of one year commencing on the date of such termination, neither the Optionee nor any of its Affiliates nor any of their respective officers, directors or employees shall, directly or indirectly, actively call on or solicit any employee or officer of the Company or any Company Subsidiary regarding employment of such person; provided, however, that the foregoing provision shall not prohibit the Optionee or any of its Affiliates from engaging in a general solicitation of employment not specifically directed towards an employee of SPS, including, but not limited to, solicitations by means of a general advertisement or through a professional recruiter or as a result of a general inquiry received by the Optionee or its affiliate regarding potential employment by an employee of SPS.

If, during the term of the Period of Restriction or at any time within one (1) year after the Settlement Date, the Grantee breaches his/her obligation not to Solicit, the Grantee’s right to the Shares upon settlement of the Units shall not have been earned and the Units, whether vested or not, will be immediately cancelled, and the Grantee shall immediately return to the Company the Shares issued in settlement of the Units or the pre-tax income derived from any disposition of such Shares. THE GRANTEE UNDERSTANDS THAT THIS PARAGRAPH IS NOT INTENDED TO AND DOES NOT PROHIBIT THE CONDUCT DESCRIBED, BUT PROVIDES FOR THE CANCELLATION OF THE UNITS AND A RETURN TO THE COMPANY OF THE SHARES OR THE GROSS TAXABLE PROCEEDS OF THE SHARES IF THE GRANTEE SHOULD CHOOSE TO VIOLATE THIS NON-SOLICITATION OF EMPLOYEES PROVISION DURING THE PERIOD OF RESTRICTION OR WITHIN ONE (1) YEAR AFTER THE SETTLEMENT DATE.

  • No Solicitation or Hiring of Employees During the Non-Compete Period, the Executive shall not solicit, entice, persuade or induce any individual who is employed by the Company or the Company Affiliates (or who was so employed within twelve (12) months prior to the Executive’s action) to terminate or refrain from continuing such employment or to become employed by or enter into contractual relations with any other individual or entity other than the Company or the Company Affiliates, and the Executive shall not hire, directly or indirectly, for himself or any other person, as an employee, consultant or otherwise, any such person. Without limiting the generality of the foregoing, Parent acknowledges and agrees that any violation of any of the restrictions set forth in the preceding sentence by any Representative of Parent or its Subsidiaries, whether or not such Representative is purporting to act on behalf of Parent or any Subsidiary of Parent, shall be deemed to constitute a breach of this Section 4.5 by Parent.
