No Sales Outside the Territory. LICENSEE represents and warrants that it shall not market, sell, offer to sell, import or distribute the Licensed Products outside the Territory, or within the Territory when with actual or constructive knowledge that a subsequent destination of the Licensed Product is outside the Territory.

No Sales Outside the Territory. During the Term of this Agreement, Mylan shall not promote or distribute the Product supplied to Mylan under this Agreement by Insys outside the Territory, nor shall Mylan sell such Product to any purchaser that Mylan knows, or reasonably ought to know, intends to resell or redistribute the Product outside the Territory. For avoidance of doubt, nothing in this Agreement shall preclude or limit Mylan from marketing, promoting, manufacturing, purchasing, packaging, re-packaging, distributing, or selling another product that contain the same active ingredients as the Product outside the Territory.
No Sales Outside the Territory. Buyer shall not, without the prior written approval of Supplier (to be granted or withheld in Supplier’s sole and absolute discretion), directly or indirectly sell Product outside the Territory, advertise, promote or solicit customers for Product outside the Territory, establish any office outside the Territory through which orders are solicited or establish any depot at which inventories of Product are stored outside the Territory.

To the extent permitted by applicable law, during the COPROMOTION PERIOD (and any EXTENSION PERIOD), ALZA shall not sell PRODUCT to a THIRD PARTY who it knows is actively soliciting resale of the PRODUCT outside the TERRITORY. In the event that a USB licensee or distributor for a territory outside the TERRITORY is selling directly PRODUCT in the TERRITORY, USB shall use reasonable commercial efforts, consistent with applicable law, to stop such licensee or distributor from selling directly PRODUCT into the TERRITORY. To the extent USB has contractual obligations from its licensees or distributors for PRODUCT which prohibit the sale of PRODUCT to a THIRD PARTY whom such licensee or distributor knows is actively soliciting resale of the PRODUCT outside the respective territory of such licensee or distributor, and such licensee or distributor is selling PRODUCT to a THIRD PARTY that is actively reselling PRODUCT in the TERRITORY, USB shall use reasonable commercial efforts, consistent with applicable law, to enforce such contractual obligations against such licensees or distributors.

For avoidance of doubt, nothing in this Agreement shall preclude or limit Mylan or its Affiliates from marketing, promoting, manufacturing, purchasing, distributing, or selling Third Party drug products that contain the same active ingredients as the Product outside the Territory; provided, Mylan notifies DPSI of its intention to do so thirty (30) days prior commencement of such Third Party drug sales outside the Territory.
