No Sales. Except for the execution of tenant Leases pursuant to Section 9.5, Seller agrees that it shall not convey any interest in the Property to any third party.
No Sales. None of the Partnership Entities has sold or issued any Common Units or other interests in the Partnership during the six-month period preceding the date of the Prospectus, including any sales pursuant to Rule 144A under, or Regulations D or S of, the Securities Act other than Common Units (i) issued pursuant to employee benefit plans, qualified options plans or other employee compensation plans or (ii) issued pursuant to outstanding options, rights or warrants.
No Sales. During the period from December 31, 2000, to -------- and including the date of this Agreement there has been no sale, transfer or other disposition by the Borrower or any of its consolidated Subsidiaries of any material part of its business or property and no purchase or other acquisition of any business or property (including any Capital Stock of any other Person) material in relation to the financial condition of the Borrower and its consolidated Subsidiaries at December 31, 2000.
No Sales. Except as disclosed in the Registration Statement and the General Disclosure Package, the Company has not sold, issued or distributed any shares of Common Stock during the six-month period preceding the date hereof, including any sales pursuant to Rule 144A under, or Regulation D or Regulation S of, the 1933 Act, other than shares issued pursuant to employee benefit plans, qualified stock option plans or other employee compensation plans or pursuant to outstanding options, rights or warrants.
No Sales. The Garden is for personal, non-commercial use only; Gardeners may not sell any produce or flowers grown in the Garden. No Signs Gardeners may not install any signage (which includes posted signs, posters, banners, painting, drawing or other means of written or visual communication) in, on or about the Garden other than a small personal sign to identify the Gardener's plot. The Landowner, Licensee and Garden Manager shall at all times have the right to remove from the Garden any signage without notice or compensation.
No Sales. Reports or data containing the PHI may not be sold without Agency's or the affected individual's written consent.
No Sales. No Partnership Entity has sold or issued any securities of the same class as the Notes during the six-month period preceding the date of the Prospectus, including any sales pursuant to Rule 144A under, or Regulations D or S of, the Securities Act other than Notes sold pursuant to the Registration Statement.
No Sales. If no sales of Licensed Products have been made during any reporting period after the First Commercial Sale of a Licensed Product, then a statement to this effect is required in the quarterly report required in Section 6.1.
No Sales. Such Selling Shareholder has not, prior to the execution of this Agreement, offered or sold any Offered Securities or Ordinary Shares by means of any “prospectus” (within the meaning of the Securities Act) or used any “prospectus” (within the meaning of the Securities Act) in connection with the offer or sale of the Offered Securities, in each case other than the then most recent Prospectus.
No Sales neither the Issuer nor any member of the Group, nor any person acting on their behalf (excluding the Managers as to whom the Issuer makes no representation) will, directly or indirectly, make offers or sales of any security, or solicit offers to buy any securities, under circumstances that would require the registration of the Bonds or Shares under the Securities Act;
