Common use of No Rights as Stockholder Clause in Contracts

No Rights as Stockholder. The Optionee shall have no rights as a stockholder with respect to any Shares subject to the Option prior to the date of issuance to the Optionee of a certificate or certificates for such Shares.

No Rights as Stockholder. The Optionee shall not have no any of the rights as of a stockholder with respect to any Shares subject to the shares of Common Stock that may be issued upon the exercise of the Option (including, without limitation, any rights to receive dividends or noncash distributions with respect to such shares) until such shares of Common Stock have been issued to him or her upon the due exercise of the Option. No adjustment shall be made for dividends or distributions or other rights for which the record date is prior to the date of issuance to the Optionee of a such certificate or certificates for such Sharesare issued.
