THE MORTGAGEE IN ITS INDIVIDUAL OR TRUST CAPACITY DOES NOT MAKE AND SHALL NOT BE DEEMED TO HAVE MADE AND HEREBY EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, AS TO THE TITLE, AIRWORTHINESS, VALUE, COMPLIANCE WITH SPECIFICATIONS, CONDITION, DESIGN, QUALITY, DURABILITY, OPERATION, MERCHANTABILITY OR FITNESS FOR USE FOR A PARTICULAR PURPOSE OF THE AIRCRAFT OR ANY ENGINE, AS TO THE ABSENCE OF LATENT OR OTHER DEFECTS, WHETHER OR NOT DISCOVERABLE, AS TO THE ABSENCE OF ANY INFRINGEMENT OF ANY PATENT, TRADEMARK OR COPYRIGHT, AS TO THE ABSENCE OF OBLIGATIONS BASED ON STRICT LIABILITY IN TORT OR ANY OTHER REPRESENTATION OR WARRANTY WHATSOEVER. The Mortgagee, in its individual or trust capacities, does not make or shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Participation Agreement, the Equipment Notes, or the Purchase Agreement, or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner made in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly made in this Trust Indenture or in the Participation Agreement. The Note Holders make no representation or warranty hereunder whatsoever.

The Neither the Owner Trustee, in its individual capacity or as Owner Trustee under the Trust Agreement, nor the Mortgagee, in its individual or trust capacities, does not make makes or shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Trust Agreement, the Participation Agreement, the Equipment Notes, the Lease, the Purchase Agreement or the Purchase AgreementAgreement Assignment with the Consent and Agreement and the Engine Consent and Agreement attached thereto, or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner Trustee made in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly made in this Trust Indenture or in the Participation Agreement. The Loan Participants, the Note Holders and the Owner Participant make no representation or warranty hereunder whatsoever.

The Mortgagee, in its individual or trust capacities, does not make Neither the Trust Company nor the Indenture Trustee makes or shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Participation Trust Agreement, the Equipment Notes, Notes or the Purchase Agreement, any Indenture Documents or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner made Trust Company and the Indenture Trustee in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly or as Indenture Trustee made in under this Trust Indenture or in the Participation Agreement. The Note Holders make no representation or warranty hereunder whatsoeverother Operative Documents.

The Mortgagee, in its individual or trust capacities, Indenture Trustee does not make or and shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Participation Agreement, the Equipment Notes, Indenture or the Purchase Agreement, Certificates or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner Indenture Trustee made in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly made in under this Trust Indenture or in the Participation Loan Agreement. The Note Certificate Holders make no representation or warranty hereunder whatsoever.

The Mortgagee, in its individual or trust capacities, does not make Neither the Trust Company nor the Indenture Trustee makes or shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Participation Trust Agreement, the Equipment Notes, Notes or the Purchase Agreement, any Indenture Documents or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner made Trust Company and the Indenture Trustee in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly or as Indenture Trustee made in under this Trust Indenture or in the Participation Agreement. The Mortgagee, in its individual or trust capacities, does not make Neither the Trust Company nor the Indenture Trustee makes or shall not be deemed to have made any representation or warranty as to the validity, legality or enforceability of this Trust Indenture, the Participation Trust Agreement, the Equipment Notes, Notes or the Purchase Agreement, any Indenture Documents or as to the correctness of any statement contained in any thereof, except for the representations and warranties of the Owner made Trust Company and the Indenture Trustee in its individual capacity and the representations and warranties of the Mortgagee in its individual capacity, in each case expressly or as Indenture Trustee made in under this Trust Indenture or in the Participation Agreement. THE MORTGAGEE IN ITS INDIVIDUAL OR TRUST CAPACITY DOES NOT OWNER TRUSTEE AND WTC MAKE AND SHALL NOT BE DEEMED TO HAVE MADE AND HEREBY EXPRESSLY DISCLAIMS ANY (i) NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, AS TO THE TITLE, AIRWORTHINESS, VALUE, COMPLIANCE WITH SPECIFICATIONS, CONDITION, DESIGN, QUALITY, DURABILITY, OPERATION, MERCHANTABILITY OR FITNESS FOR USE FOR A OR PARTICULAR PURPOSE OF THE AIRCRAFT OR ANY ENGINEPART THEREOF, AS TO THE ABSENCE OF LATENT OR OTHER DEFECTS, WHETHER OR NOT DISCOVERABLE, AS TO THE ABSENCE OF ANY INFRINGEMENT OF ANY PATENT, TRADEMARK OR COPYRIGHT, AS TO THE ABSENCE OF OBLIGATIONS BASED ON ANY STRICT LIABILITY IN TORT OBLIGATION OR ANY OTHER REPRESENTATION OR WARRANTY WHATSOEVER. The Mortgagee, in its individual or trust capacitiesEXPRESS OR IMPLIED, does not make or WITH RESPECT TO THE AIRCRAFT OR ANY PART THEREOF, except that WTC hereby represents and warrants to the Owner Participant that (a) on the Delivery Date the Owner Trustee received whatever title was conveyed to it by Lessee and that (b) the Aircraft was on the Delivery Date and shall not be deemed on the Refunding Date free of Lessor's Liens attributable to have made any WTC and (ii) no representation or warranty as to the validity, legality or enforceability of this Trust Agreement, the Indenture, the Trust Agreement and Trust Indenture Supplement, the Participation Agreement, the Equipment NotesCertificates, the Lease or the Lease Supplement, the Purchase Agreement or the Purchase Agreement, Agreement Assignment or any other document or instrument referred to herein or as to the correctness of any statement contained in any thereof, except for to the representations extent that any such statement is expressly made herein or therein as a representation by WTC and warranties of except that WTC hereby represents and warrants to the Owner made Participant that (x) this Trust Agreement has been, and, assuming the due authorization, execution and delivery of this Trust Agreement by the Owner Participant, each of said other specified documents has been or will be, executed and delivered by one of its officers who is and will be duly authorized to execute and deliver such document on its behalf, both in its individual capacity and the representations as Owner Trustee and warranties of the Mortgagee in its individual capacity(y) WTC has all corporate power and authority to execute, in each case expressly made in deliver and perform this Trust Indenture Agreement and (z) assuming the due authorization, execution and delivery of this Trust Agreement by the Owner Participant, this Trust Agreement constitutes the legal, valid and binding obligation of WTC enforceable against WTC in accordance with its terms except as such enforceability may be limited by general equitable principles and by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors rights generally from time to time in the Participation Agreement. The Note Holders make no representation or warranty hereunder whatsoevereffect.

No Representations or Warranties as to Aircraft or Documents.
