No Reductions. All payments due to the Administrative Agent or any Bank under this Agreement shall be made by the Obligors, without any reduction or deduction whatsoever, including any reduction or deduction for any set-off, recoupment, counterclaim or Tax, except, subject to Section 4.07, for any withholding or deduction for Taxes required to be withheld or deducted under applicable law.
