Common use of No Reductions Clause in Contracts

No Reductions. All payments due to the Administrative Agent, the Issuing Bank, the Swing Loan Lender or any Bank under the Loan Documents, and all other terms, conditions, covenants and agreements to be observed and performed by the Borrower thereunder, shall be made, observed or performed by the Borrower without any reduction or deduction whatsoever, including any reduction or deduction for any set-off, recoupment, counterclaim (whether sounding in tort, contract or otherwise) or Tax except for any Tax required to be withheld or deducted in accordance with Section 1.14.

All payments due to the Administrative Agent, the Issuing Bank, the Swing Loan Lender Agent or any Bank under the Borrower Loan Documents, and all other terms, conditions, covenants and agreements to be observed and performed by the Borrower thereunder, shall be made, observed or performed by the Borrower without any reduction or deduction whatsoever, including any reduction or deduction for any set-off, recoupment, counterclaim (whether sounding in tort, contract or otherwise) or Tax Tax, except for, so long as the Borrower is in compliance with Section 1.12, any withholding or deduction for any Tax Taxes required to be withheld or deducted in accordance with Section 1.14under Applicable Law.
