Common use of No Reductions Clause in Contracts

No Reductions. All payments due to the Administrative Agent or any Bank under the Loan Documents, and all other terms, conditions, covenants and agreements to be observed and performed by the Borrower thereunder, shall be made, observed or performed by the Borrower without any reduction or deduction whatsoever, including any reduction or deduction for any set-off, recoupment, counterclaim (whether sounding in tort, contract or otherwise) or Tax, except, subject to Section 1.11(c), for any withholding or deduction for Taxes required to be withheld or deducted under Applicable Law.

No Reductions. All payments due to the Administrative Agent Agent, the Issuing Bank, or any Bank under the Loan Documents, and all other terms, conditions, covenants and agreements to be observed and performed by the Borrower thereunder, shall be made, observed or performed by the Borrower without any reduction or deduction whatsoever, including any reduction or deduction for any set-off, recoupment, counterclaim (whether sounding in tort, contract or otherwise) or Tax, except, subject to Section 1.11(c)1.13, for any withholding or deduction for Taxes required to be withheld or deducted under Applicable Law.
