No Recruitment. During the term of this Agreement and for one (1) year after the termination or expiration of this Agreement, each Party agrees not to recruit any employee of the other Party.
No Recruitment. You shall take no action to recruit any Potential Respondent into any panel, community, or group of individuals, online or offline, or take any action that would allow You to contact, or allow any other party to contact, any Potential Respondent at any time in the future.
No Recruitment. During Executive's employment hereunder and for one (1) year after the termination of Executive's employment hereunder for cause (or for such time as Executive is receiving by agreement severance pay from the Company for termination other than for cause), Executive will not, directly or indirectly, (a) induce or conspire with, or attempt to induce or conspire with, any of the officers or employees or registered representatives of the Company or any of its subsidiaries or affiliates to terminate their employment or relationship with or compete against the Company or any of its subsidiaries or affiliates, or any of the clients or customers of any such entity to terminate their relationship with any such entity, or (b) divert or attempt to divert any or all of such clients' or customers' business with the Company or any of its subsidiaries or affiliates from any such entity, unless the Company shall consent in writing thereto.
No Recruitment. Each Member agrees that during the Non-Competition Period, such Member will not, individually or as a principal, partner, stockholder, member, manager, agent, consultant, contractor, employee, lender, investor, or as a director or officer of any Entity (other than the Ranger IPO Entities), or in any other manner or capacity whatsoever, directly or indirectly, hire, solicit, induce, recruit encourage to leave or cease their employment with the Company, its Subsidiaries or any of the Ranger IPO Entities or leave or cease their contract for services with the Company, its Subsidiaries or any of the Ranger IPO Entities, any person such Member knows is an employee of the Company, its Subsidiaries or any of the Ranger IPO Entities, or any former employee or service provider of the Company, its Subsidiaries or any of the Ranger IPO Entities whose employment with or services to the Company, its Subsidiaries or any of the Ranger IPO Entities ceased within the prior twelve (12) months.
No Recruitment. Customer agrees that during the term of this Agreement, and for a period of one (1) year thereafter, it will not, without the prior written consent of PerfectMind, hire, retain or engage, or make an offer in respect of same to, any employee, independent contractor or consultant of PerfectMind.
No Recruitment. During Executive's employment hereunder and for one (1) year after the termination of Executive's employment hereunder for cause (or for such time as Executive is receiving severance pay from the Company for termination other than for cause) plus, at the option of the Company, an additional six (6) months provided that during such six-month period Executive is then being employed for a base compensation of at least Forty Thousand Dollars ($40,000.00) per month or the Company pays to Executive Forty Thousand Dollars ($40,000.00) per month, Executive will not, directly or indirectly, (a) induce or conspire with, or attempt to induce or conspire with, any of the officers or employees or registered representatives of the Company or any of its subsidiaries or affiliates to terminate their employment or relationship with or compete against the Company or any of its subsidiaries or affiliates, or any of the clients or customers of any such entity to terminate their relationship with any such entity, or (b) divert or attempt to divert any or all of such clients' or customers' business with the Company or any of its subsidiaries or affiliates from any such entity, unless the Company shall consent in writing thereto.
No Recruitment. Through the Project End Date and for one year thereafter, neither party shall attempt to actively recruit or solicit any personnel of the other party without the prior written consent of such party; except as otherwise provided herein and provided that, notwithstanding the foregoing, a party shall be permitted to engage in general recruitment through advertisements or recruiting through head-hunters so long as Innovex employees and personnel are not specifically targeted.
No Recruitment. 16.1 the Customer agrees that during the term of any agreement or proposal and for a period of 12 months after its termination it will not employ or engage or offer to employ or engage any member of the Associated Consultancy Service’s or J700 Group Ltd.’s staff without the prior written consent of the Supplier. The Customer further agrees that employment or an offer to a person in breach of this clause shall result in the Customer being liable to pay damages to the Supplier equivalent to 120 days’ work by the person in question at his or her then current daily fee.
No Recruitment. Neither Party shall, without the express consent of the other Party, directly or indirectly, for itself or for any other person, firm, corporation, partnership, association or other entity, employ or attempt to employ or enter into any contractual arrangement with any of the other Party’s Personnel, unless such Personnel has not been employed or engaged by such other Party for a period in excess of twelve (12) months. The Parties acknowledge and agree that, during the Term and for a period of twenty-four (24) months after termination of this Agreement, neither Party shall: (a) directly or indirectly induce or attempt to persuade any Personnel, shareholder, director, investor, client, customer or other participant in the other Parties’ business to terminate such employment or other relationship with that Party; or (b) directly or indirectly induce or attempt to persuade any past, current or future customer, client, supplier, licensee or other business relation of the other Party to cease doing business with that Party or to direct any or all of its business to the other Party or any other person, firm, corporation, partnership, association or other entity, or in any way interfere with the relationship between any such customer, client, supplier, licensee or other business relation of the other Party.
No Recruitment. Xxxxxxxx agrees that during the Non-Competition Period, Xxxxxxxx, individually or as a principal, partner, stockholder, member, manager, agent, consultant, contractor, employee, lender, investor, or as a director or officer of any corporation or association, or in any other manner or capacity whatsoever, will not, directly or indirectly, hire, solicit, induce, recruit, encourage to leave or cease their employment with the Company or a subsidiary of the Company or leave or cease their contract for services with the Company or a subsidiary of the Company, any person Xxxxxxxx knows is an employee of the Company or a subsidiary of the Company, or any former employee or service provider of the Company or a subsidiary of the Company whose employment with or services to the Company or any such subsidiary ceased within the prior twelve (12) months.
