Common use of No Public Announcement Clause in Contracts

No Public Announcement. Neither the Stockholder nor the Buyer shall, without the approval of the other, make any press release or other public announcement or filing concerning the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by law, in which case the other party shall be advised thereof and given an opportunity to comment thereon.

No Public Announcement. Neither the Stockholder Sellers nor the Buyer shall, without the approval of the other, make any press release or other public announcement or filing concerning the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by lawlaw or regulation, including as may be required by the Bankruptcy Proceedings and the Sale Procedures Order, or the rules of any stock exchange or the Nasdaq national market system, in which case the other party shall be advised thereof and given an opportunity the parties shall use their best efforts to comment thereoncause a mutually agreeable release or announcement to be issued.

Neither the Stockholder Seller nor the Buyer shall, without the approval of the other, make any press release or other public announcement or filing concerning the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by law, including as may be required by the Bankruptcy Proceedings and the Sale Procedures Order, or the rules of any stock exchange or the Nasdaq national market system, in which case the other party shall be advised thereof and given an opportunity the parties shall use their best efforts to comment thereoncause a mutually agreeable release or announcement to be issued.

Neither Buyer, Seller nor any Stockholder will announce to the Stockholder nor public, customers, vendors, or Seller's employees, the Buyer shall, terms and conditions of this Agreement or the transactions contemplated hereby without the prior approval of the otherother party, make any press release or other public which will not be unreasonably withheld, unless such announcement or filing concerning is required by law and in such a case, the transactions contemplated by this Agreement, except as and to the extent that any such announcing party shall be so obligated by law, in which case will notify the other party shall be advised thereof and given an opportunity to comment thereonprovide it in advance with a copy of the public disclosure.

Neither Other than as required by Law or applicable securities laws, neither the Stockholder nor Company or the Buyer shallSelling Stockholder, without on the approval one hand, or the Purchasers, on the other hand, will issue any press release, announcement or disclosure relating to this Agreement unless required by Law (such determination based upon the advice of external counsel) or with the prior written consent of the other, make any press release or other public announcement or filing concerning the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by law, in which case the other party shall be advised thereof and given an opportunity to comment thereonparty.

Neither the Stockholder Shareholders nor Computone nor the Buyer Sub shall, without the approval of the other, make any press release or other public announcement or filing concerning the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by lawdetermine, in which case the other party shall be advised thereof and given an a reasonable opportunity to comment thereon.
