Common use of No Prohibited Persons Clause in Contracts

No Prohibited Persons. Neither Seller nor any of its Affiliates, officers, directors, partners or members, is an entity or person (or to Seller’s knowledge, owned or controlled by an entity or person): (i) that is listed in the Annex to, or is otherwise subject to the provisions of Executive Order 13224 issued on September 24, 2001 (“EO13224”); (ii) whose name appears on the United States Treasury Department’s Office of Foreign Assets Control (“OFAC”) most current list of “Specifically Designated National and Blocked Persons” (which list may be published from time to time in various mediums including, but not limited to, the OFAC website, http:xxx.xxxxx.xxx/xxxx/x00xxx.xxx); (iii) who commits, threatens to commit or supports “terrorism”, as that term is defined in EO13224; or (iv) who is otherwise affiliated with any entity or person listed above (any and all parties or persons described in clauses (i) through (iv) above are herein referred to as a “Prohibited Person”).

No Prohibited Persons. Neither Seller any Borrower Party nor any of its Affiliates, their respective officers, directors, partners or partners, members, Affiliates or, to the knowledge of the Borrowers, shareholders is an entity or person (or to Seller’s knowledge, owned or controlled by an entity or person): : (i) that is listed in the Annex to, or is otherwise subject to the provisions of Executive Order 13224 issued on September 24, 2001 (“"EO13224”"); (ii) whose name appears on the United States Treasury Department’s 's Office of Foreign Assets Control (“"OFAC”") most current list of “"Specifically Designated National and Blocked Persons” " (which list may be published from time to time in various mediums including, but not limited to, the OFAC website, http:xxx.xxxxx.xxx/xxxx/x00xxx.xxx); (iii) who commits, threatens to commit or supports “"terrorism”", as that term is defined in EO13224EO 13224; or (iv) who is otherwise affiliated with any entity or person listed above (any and all parties or persons described in clauses (i) through (iv) above are herein referred to as a “Prohibited Person”"PROHIBITED PERSON").

Neither Seller nor Purchaser nor, to Purchaser’s Knowledge, any person or entity that controls the management and policies of its AffiliatesPurchaser or owns directly or indirectly more than fifty percent (50%) of Purchaser, officersand to Purchaser’s Knowledge, directorsno employee, partners officer or members, director of Purchaser is an entity a person or person (or to Seller’s knowledge, owned or controlled by an entity or person): entity: (i) that is listed in the Annex annex to, or is otherwise subject to the provisions of Executive Order 13224 issued on September 24of, 2001 (“EO13224”); (ii) whose name appears on the United States Treasury DepartmentOFAC’s Office of Foreign Assets Control (“OFAC”) most current list of “Specifically Designated National and Blocked Persons” (which list may be published from time to time in various mediums mediums, including, but not limited towithout limitation, the OFAC website, http:xxx.xxxxx.xxx/xxxx/x00xxx.xxx); (iii) who commits, threatens to commit or supports “terrorism”, ,” as that term is defined in EO13224; or (iv) who is otherwise affiliated with any entity or person listed above (above. Notwithstanding anything herein to the contrary, the foregoing representation shall not apply to the beneficiaries of any and all parties or persons described in clauses (i) through (iv) above are herein referred to as a “Prohibited Person”)pension plan affiliated with Purchaser.

No Prohibited Persons.
