Common use of No Proceeding Pending Clause in Contracts

No Proceeding Pending. There is no claim, action, audit, investigation, lawsuit, arbitration, mediation or other proceeding in progress or pending or, to the knowledge of each of the Shareholders, threatened, against or otherwise affecting each Shareholder which could reasonably be expected to impair the ability of each Shareholder to deliver this Agreement and to perform its obligations contemplated hereby.

No Proceeding Pending. There is no claim, action, audit, investigation, lawsuit, arbitration, mediation or other proceeding in progress pending or pending orthreatened against the Shareholder, which relates to the knowledge of each of the Shareholders, threatened, against this Agreement or otherwise affecting each Shareholder which materially impairs or could reasonably be expected to materially impair the ability of each the Shareholder to deliver this Agreement and to perform its obligations consummate the transactions contemplated hereby.

No Proceeding Pending. There is no claim, action, audit, investigation, lawsuit, arbitration, mediation or other proceeding in progress or pending or, to the knowledge of each best of the Shareholdersknowledge, threatenedinformation and belief of the Shareholder, threatened against the Shareholder, which relates to this Agreement or otherwise affecting each Shareholder which could reasonably be expected to impair materially impairs the ability of each the Shareholder to deliver this Agreement and to perform its obligations consummate the transactions contemplated hereby.

There is no claim, action, audit, investigation, lawsuit, arbitration, mediation or other proceeding in progress pending or pending orthreatened against the Shareholder, that relates or could relate to the knowledge of each of the Shareholders, threatened, against this Agreement or otherwise affecting each Shareholder which materially impairs or could reasonably be expected to materially impair the ability of each the Shareholder to deliver this Agreement and consummate the transactions contemplated hereby or the title of the Shareholder to perform its obligations contemplated herebyany of the Subject Securities.

There is no claim, action, litigation, audit, investigation, lawsuit, arbitration, mediation or other proceeding in progress or pending or, to the knowledge of each of the ShareholdersShareholder, threatened, threatened against or otherwise affecting each the Shareholder which could (or any of its affiliates) or this Agreement which, individually or in the aggregate, would reasonably be expected to have an adverse effect on or otherwise impair the ability of each the Shareholder to deliver this Agreement and to perform its obligations contemplated hereby.
