No other provisions. Except for the express provisions of this Agreement and to the maximum extent permitted by applicable law Arrow disclaims and excludes all warranties, terms and other conditions, including but not limited to any warranty, term or other condition of merchantability, satisfactory quality, fitness for a particular purpose or non- infringement, relating to the ownership of the Services or the Equipment or as to price in every case whether implied by statute, common law, custom, collaterally or otherwise.
No other provisions. The Sellers hereby acknowledge and agree that other than the representations and warranties set forth in Article 4 or the covenants set forth in this Agreement, neither the Purchaser nor any of its Affiliates, or any of their respective officers, directors, employees, agents, representatives or stockholders, make or have made any representation or warranty, express or implied, at law or in equity, or covenant as to any matter whatsoever relating to the Project, the Purchased Assets, the Assumed Liabilities or any other matter relating to the transactions contemplated by this Agreement, including as to (a) the operation of the Project by the Purchaser after the Closing in any manner or (b) the probable success or profitability of the Project after the Closing.
No other provisions. Except as Customer and Xxxxxx- Xxxxxx Productions may subsequently agree by a separate written agreement, these Terms and Conditions constitute all the terms and conditions agreed upon by Customer and Xxxxxx-Xxxxxx Productions in connection with the furnishing of services or materials to Customer. In addition, these Terms and Conditions supersede any prior terms and conditions or agreements, any provisions contained in, or accompanying, any purchase order, correspondence or other writing previously or hereinafter submitted by Customer, or otherwise implied by trade, custom and practice, or course of dealing between Xxxxxx-Xxxxxx Productions and Customer.
