No Other Filings. Pledgor shall not file or authorize or permit to be filed in any jurisdiction any financing statements under the UCC or any like statement relating to the Collateral in which Collateral Agent is not named as the sole secured party.
No Other Filings. Employee represents that he/she has not filed any charges, complaints or other accusatory pleadings against Xxxx-Xxxxx or any of its officers, directors, employees or representatives based upon or arising out of any aspect of his/her employment relationship with Xxxx-Xxxxx or separation therefrom which may have accrued as of the date of the execution of this Agreement. Employee agrees that if at any time after the execution of this Agreement it is established that he/she violated the terms of this provision, Xxxx-Xxxxx shall have the right to seek appropriate relief, including, but not limited to, a permanent injunction restraining Employee from further violations. Employee further agrees that damages for any breach of this provision will be difficult to calculate and that should Employee breach this provision, Xxxx-Xxxxx shall be entitled to both stop payment of any funds owed under this Agreement and the Plan and bring legal action against Employee in a court of competent jurisdiction for each such breach. Upon the entry of any judgment finding such a breach, Xxxx-Xxxxx shall also be entitled to recover forty percent (40%) of all payments made to Employee or on his/her behalf as outlined in the Plan as liquidated damages for each such breach. Employee further agrees that with respect to the claims he/she is waiving, he/she is waiving his/her right to recover money or other relief in any action that might be brought on his/her behalf by any other person or entity including, but not limited to, the United States Equal Employment Opportunity Commission, the Department of Labor, or any other (U.S. or foreign) federal, state or local governmental agency or department. No Other Filings. Sutura shall not file or authorize to be filed in any jurisdiction any financing statements under the UCC or any like statement relating to the Collateral.
No Other Filings. Chex shall not file or authorize to be filed in any jurisdiction any financing statements under the UCC or any like statement relating to the Collateral, except as contemplated by the Chex Note Security Agreement dated as of this date between Chex and Equitex.
No Other Filings. Pledgor shall not file or suffer to be on file, or authorize or permit to be filed or to be on file, in any jurisdiction, any financing statement or like instrument with respect to any of the Collateral in which the Security Trustee is not named as the sole secured party for the benefit of the Secured Parties, other than with respect to Permitted Equity Liens.
No Other Filings. Upon the execution and delivery of a Certificate of Acceptance, no filings or recordings (other than filings or recordings that shall have been arranged to be made promptly thereafter) are necessary to validly and effectively convey to Administrative Agent such interests in the Collateral as contemplated by the Operative Documents, free and clear of all Liens, other than Permitted Liens.
No Other Filings. The Seller has not authorized the filing of and is not aware of any financing statements against the Indenture Trustee or the Trust that include a description of collateral covering the Receivables other than any financing statement relating to the security interest granted to the Trust hereunder or to the Indenture Trustee under the Indenture or that has been terminated. The Seller is not aware of any judgment or tax lien filings against the Seller.
No Other Filings. Ventures shall not file or authorize to be filed in any jurisdiction any financing statements under the UCC or any like statement relating to the Collateral.
No Other Filings. Except for registration statements in the United States on Form S-4 or S-8 or any successor to them (or the equivalent form for foreign private issuers as defined under the 1933 Act), the Corporation will not file with the SEC any other Registration Statement with respect to its securities or any Canadian Prospectus, whether for its own account or that of other security holders, from the date of the Demand Notice until the completion of the period of distribution of the registration and/or qualification contemplated by the Demand Notice (unless all of the Initiating Holders withdraw their request for registration or qualification of their Registrable Securities).
No Other Filings. Without the prior written consent of Secured Party, Pledgor will not, after the date hereof, file or suffer to be on file, or authorize or permit to be filed or to be on file, in any jurisdiction, any financing statement or like instrument with respect to the Collateral in which Secured Party is not named as the sole secured party.
