No Other Activities. The Issuer will not engage in activities other than financing, acquiring, owning and pledging the Trust Property as described in the Transaction Documents and activities incidental to those activities.

Since its incorporation, SWMAC (a) has not conducted any business operations or activities other than exclusively related to its ownership of the Equity Interests in SWWC and administrative activities incidental thereto (including the issuance of the SWWC Shareholder Loan), (b) has had no employees, and (c) has had no assets or liabilities other than its ownership of the Equity Interests in SWWC, liabilities under the SWWC Shareholder Loan and other immaterial liabilities that may have arisen in connection with administration activities of SWMAC.
