No Omission. The Company has not intentionally omitted to state to Purchaser any material fact relating to the Company that is necessary in order to make the statements made to Purchaser in this Agreement, in the light of the circumstances under which they were made, not misleading.
No Omission. No representation, warranty or statement by Borrower contained herein or in any other document to be furnished by Borrower in connection herewith contains, or at the time of delivery shall contain, any untrue statement of material fact, or omits or at the time of delivery shall omit to state a material fact necessary to make such representation, warranty or statement not misleading.

To Buyer's Knowledge, Buyer's representations and warranties and all information made available to the Company and Sellers by or on behalf of Buyer are complete and correct in all material respects and do not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the representations, warranties and information not misleading in light of the circumstances under which such statements were made.
No Omission. No representation, warranty or statement by Borrower contained herein contains any untrue statement of material fact or omits to state a material fact necessary to make such representation, warranty or statement not misleading.

(i) All Information (other than financial projections and information of a general economic nature or general industry nature) provided directly or indirectly by the Acquired Business or the Borrower to the Administrative Agent and the Lenders in connection with this Agreement and the Acquisition (with respect to the Acquired Business, in each case, to the best of the Borrower's knowledge), is and will be, when taken as a whole, complete and correct in all material respects and does not and will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained therein not misleading and so far as the Borrower is aware, nothing has occurred between the date of delivery of such Information and the date that this representation is made (except as disclosed in Schedule 4.05) which renders such information untrue or misleading in any material respect and (ii) the financial projections that have been or will be made available to the Lenders by the Acquired Business or the Borrower or their respective representatives have been and will be prepared in good faith based upon assumptions that are believed by the Borrower to be reasonable at the time such financial projections are furnished to the Lenders, it being understood and agreed that financial projections are not a guarantee of financial performance and actual results may differ from financial projections and such differences may be material.

No representation or warranty by the Seller ----------- made in this Agreement or any exhibit hereto and no Schedule or certificate furnished or to be furnished to the Buyer pursuant to or in connection with this Agreement or any of the transactions hereby contemplated contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein or therein, in the light of the circumstances in which they are made, not misleading.

No representation or warranty by the Buyer or ----------- Aquatics made in this Agreement or any Exhibit hereto and no Schedule or certificate furnished or to be furnished to the Seller pursuant to or in connection with this Agreement or any of the transactions hereby contemplated contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein or therein, in the light of the circumstances in which they are made, not misleading.
No Omission. Nothing is due to be done within 30 days of Completion the omission of which would jeopardise the prosecution, maintenance or protection of any of the Intellectual Property Rights owned or used by any Group Company which are registered or the subject of an application for registration.

No representation or warranty by the Sellers ----------- made in this Agreement or any other Seller Document or any exhibit hereto or thereto and no Schedule or certificate furnished or to be furnished to the Purchaser pursuant to or in connection with this Agreement, or any other Seller Document or any of the transactions contemplated hereby contains or will contain any statement of a material fact that was untrue as of its date or omits to state a material fact necessary in order to make the statements contained herein or therein, in the light of the circumstances in which they are made, not misleading as of the date thereof.

No representation or warranty made by the Seller in this Agreement contains any untrue statements of a material fact or knowingly omits to state any material fact necessary, in order to make the representations and warranties made herein, in light of the circumstances under which they were made, not misleading.
