Common use of No Negotiation Clause in Contracts

No Negotiation. Until such time as this Agreement shall be terminated pursuant to Section 9.1, Seller shall not directly or indirectly solicit, initiate, encourage or entertain any inquiries or proposals from, discuss or negotiate with, provide any non-public information to, or consider the merits of any inquiries or proposals from, any Person (other than Buyer) relating to the sale of any of the Assets (other than in the Ordinary Course of Business). Seller shall notify Buyer of any such inquiry or proposal within twenty-four (24) hours of receipt or awareness of the same by Seller.

No Negotiation. Until such time as this Agreement shall be terminated pursuant to Section 9.1, Seller shall not directly or indirectly solicit, initiate, encourage or entertain any inquiries or proposals from, discuss or negotiate with, provide any non-public nonpublic information to, to or consider the merits of any inquiries or proposals from, from any Person (other than Buyer) relating to any business combination transaction involving Seller or the sale of any of the Assets System (other than in the Ordinary Course of Business). Seller shall notify Buyer of any such inquiry or proposal within twenty-four (24) hours of receipt or awareness of the same by Seller.

No Negotiation. Until such time as this Agreement shall be terminated pursuant to Section 9.1, Seller shall not, and it shall cause its Affiliates not to, directly or indirectly indirectly, solicit, initiate, initiate or encourage or entertain any inquiries or proposals from, discuss or negotiate with, with or provide any non-public nonpublic information to, or consider the merits of any inquiries or proposals from, to any Person (other than Buyer) relating to the any sale of assets of Seller, any business combination transaction involving Seller or the merger or consolidation of the Assets (other than in the Ordinary Course of Business). Until Unless and until such time as this Agreement shall be terminated pursuant to Section 9.114.13, Seller shall not directly or indirectly solicit, initiate, encourage or entertain any inquiries or proposals from, discuss or negotiate with, provide any non-public nonpublic information to, to or consider the merits of any inquiries or proposals from, from any Person (other than BuyerPurchaser) relating to the sale or transfer of the Project or any of the Assets (other than in the Ordinary Course of Business)Project Assets. Seller shall promptly notify Buyer Purchaser of any such inquiry or proposal within twenty-four (24) hours of receipt or awareness of the same by Sellerproposal.

Seller shall notify Buyer of any such inquiry property or proposal within twenty-four (24) hours of receipt or awareness assets of the same by SellerBusiness, or any merger, consolidation, business combination, or similar transaction involving Seller or any portion of the Business.

Seller shall notify Buyer of any such inquiry or proposal within twenty-four (24) hours of receipt or awareness of the same by Seller.
