There are no actions, suits or proceedings at law or in equity or by or before any governmental authority now pending or, to the knowledge of Borrower, threatened against or affecting Borrower or any business, property or rights of Borrower (i) which involve any Loan Document or (ii) as to which there is a reasonable possibility of an adverse determination and which, if adversely determined, could, individually or in the aggregate, result in a material adverse effect upon (a) Borrower’s business, operations, properties, assets or financial condition, (b) Xxxxxxxx’s ability to perform the Secured Obligations in accordance with the terms of the Loan Documents or Lenders’ ability to enforce any of their rights and remedies with respect to the Secured Obligations in accordance with the terms of the Loan Documents, or (c) the Collateral or Lenders’ liens on the Collateral or the priority of such liens.
