No Liability of the Company. Any information supplied by or on behalf of any Group Company or by its officers, employees, agents, accountants, lawyers or other advisers to the Sellers or their respective officers, employees, agents, accountants, lawyers or other advisers in connection with the Warranties, the WWP Warranties or the Disclosure Letter or otherwise in relation to the business and affairs of the Company or the Subsidiaries shall not constitute a representation or warranty or guarantee as to the accuracy thereof by any Group Company and each of CILT and WWP hereby waives any and all claims which it might otherwise have against any Group Company in respect thereof. This shall not preclude either CILT and/or WWP from claiming against the other or Mr. Xxxxx, Xx. X. Xxxxxxxxx-Laurvig, Mr W. Xxxxxxxxx-Laurvig or Mr Yxxx Xxxxxxxx xxxer any right of contribution or indemnity to which it may be entitled.

No Liability of the Company. The Company shall not be liable for the Participant or any other person with respect to any tax consequence expected but not realized by the Participant or other person due to the receipt, vesting or settlement of the Restricted Stock Units.

No Liability of the Company. In the event a Claim is made against Sellers for Buyer's Damages or an offset is made against the Notes or any other amount owed by Buyer to Sellers by reason of the Contemplated Transactions for Buyer's Damages, Sellers shall not, nor shall they be entitled to, maintain, assert or make a claim against the Company or its directors, officers, affiliates, successor or assigns for contribution, indemnity or for any other recovery, it being the intention of the parties hereto that after the Closing the Company shall have no liability, obligation or responsibility for any Breach or nonfulfillment of the representations, warranties, covenants or obligations of the Company or Sellers made in this Agreement. If applicable, claims will first be submitted to insurance carrier at time of incident.

  • Liability of the Company The Company shall be liable in accordance herewith only to the extent of the obligations specifically imposed upon and undertaken by the Company herein.

Neither the Issuing Bank nor any of its officers or directors shall be liable or responsible for: (a) the use that may be made of any Letter of Credit or any acts or omissions of any beneficiary or transferee in connection therewith; (b) the validity, sufficiency or genuineness of documents, or of any endorsement thereon, even if such documents should prove to be in any or all respects invalid, insufficient, fraudulent or forged; (c) payment by the Issuing Bank against presentation of documents that do not comply with the terms of a Letter of Credit, including failure of any documents to bear any reference or adequate reference to the Letter of Credit; or (d) any other circumstances whatsoever in making or failing to make payment under any Letter of Credit, except that the Borrower shall have a claim against the Issuing Bank, and the Issuing Bank shall be liable to the Borrower, to the extent of any direct, but not consequential, damages suffered by the Borrower that the Borrower proves were caused by (i) the Issuing Bank’s willful misconduct or gross negligence as determined in a final, non-appealable judgment by a court of competent jurisdiction in determining whether documents presented under any Letter of Credit comply with the terms of the Letter of Credit or (ii) the Issuing Bank’s willful failure to make lawful payment under a Letter of Credit after the presentation to it of a draft and certificates strictly complying with the terms and conditions of the Letter of Credit. In furtherance and not in limitation of the foregoing, the Issuing Bank may accept documents that appear on their face to be in order, without responsibility for further investigation, regardless of any notice or information to the contrary.

  • Liability of the Seller (a) The Seller shall be liable in accordance herewith only to the extent of the obligations specifically undertaken by the Seller under this Agreement.

  • Liability of Company The Indemnitee agrees that neither the stockholders nor the directors nor any officer, employee, representative or agent of the Company shall be personally liable for the satisfaction of the Company's obligations under this Agreement and the Indemnitee shall look solely to the assets of the Company for satisfaction of any claims hereunder.
