None of Seller or DBL has any knowledge on the date hereof of any fact or circumstances which would cause any representation or warranty of the Buyer Parties in this Agreement or any document delivered at the Closing to be misleading or incorrect in any respect or is aware of any statement which was omitted from any such representation or warranty which is necessary to make the statements made in any such representation or warranty not misleading.
