No Judgment or Order. There shall not be on the Closing, any judgment or order of a court of competent jurisdiction or any ruling, regulation or order of any agency of the Israeli government which would prohibit or have the effect of preventing consummation of the sale of the Issued Shares.
No Judgment or Order. There shall not be on the date of the Closing any judgment or order of a court of competent jurisdiction or any ruling, regulation or order of any authority which would prohibit or have the effect of preventing consummation of the transactions contemplated by this Agreement.
No Judgment or Order. There shall not be on the Closing Date any Orders of any Governmental Entity or Legal Requirements which would (a) prohibit the purchase of the Shares or (b) prohibit the consummation of the transactions contemplated by this Agreement.

The Closing shall not have been prohibited by a judgment or injunction or other authoritative relief or measure, and there shall be no legal action or application of any Third Person pending before any state court, arbitral tribunal or other authoritative body which seeks to prohibit the Closing.

There shall not be any judgment or order of a court of competent jurisdiction, any ruling of any Governmental Entity, or any condition imposed under Applicable Law which would prohibit the purchase and sale of the Purchased Shares hereunder or subject any Buyer to any penalty or other onerous condition under any Applicable Law if the Purchased Shares were to be purchased hereunder.
No Judgment or Order. There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any Governmental Authority or any condition imposed under any Requirement of Law which seeks to enjoin or restrain the purchase of the Notes and the Warrants hereunder or subject any Purchaser to any material penalty or other material restriction under or pursuant to any Requirement of Law if the Securities were to be purchased hereunder.
No Judgment or Order. There shall not be on the Closing, any judgment or order of a court of competent jurisdiction or any ruling, regulation or order of any agency applicable to Nexus which would prohibit or have the effect of preventing consummation of the sale of the Shares, the Warrant or the Ordinary Shares issuable upon the execution of the Warrant.
No Judgment or Order. Seller is not otherwise a party to, subject or bound by any judgment, order, writ, prohibition, injunction or decree of any court, governmental body or arbitrator and no action or proceeding is pending against Seller which would prevent the execution, delivery or performance of this Agreement by Seller to Purchaser.
No Judgment or Order. There shall not be on the Applicable Closing Date any Order of a court of competent jurisdiction or any ruling of any Governmental Authority or any condition imposed under any Requirement of Law which would, in the reasonable judgment of the Purchasers, (a) prohibit or restrict (i) the purchase of the Shares or (ii) the consummation of the transactions contemplated by this Agreement, (b) subject the Purchasers to any penalty or other onerous condition under or pursuant to any Requirement of Law if the Shares were to be purchased hereunder or (c) restrict the operation of the business of the Company or any of the Subsidiaries as conducted on the date hereof. 5.13
