No Joint Venture or Partnership; No Third Party Beneficiaries. (a) Borrower, Hotel Lessee, Administrative Agent and the Lenders intend that the relationships created hereunder and under the other Loan Documents be solely that of borrower and lender. Nothing herein or therein is intended to create a joint venture, partnership, tenancy in common, or joint tenancy relationship between Borrower or Hotel Lessee and Administrative Agent or the Lenders nor to grant Administrative Agent or the Lenders any interest in the Property, other than that of mortgagee, beneficiary or lender.

(a) Borrower, Hotel Lessee, Administrative Agent Operating Lessee and the Lenders Lender intend that the relationships created hereunder and under the other Loan Documents among Borrower, Operating Lessee and Lender be solely that of borrower debtor and lender. Nothing herein creditor, and that Lender shall have no fiduciary or therein is intended to create a joint venture, partnership, tenancy in common, or joint tenancy other special relationship between with Borrower or Hotel Operating Lessee and Administrative Agent or the Lenders nor to grant Administrative Agent or the Lenders any interest except as set forth in the Property, other than that of mortgagee, beneficiary or lenderSection 12.
