In the event of any actual, irreconcilable conflict that cannot be resolved as aforesaid, the terms and provisions of the Loan Agreement shall control and govern.

No Action shall have been instituted by any Government or other Person (a) against a party hereto to restrain or prohibit the consummation of the transactions herein or (b) which could reasonably be expected to have a material adverse effect on the business, assets, properties, Liabilities, affairs, results of operations, condition (financial or otherwise), cash flows or prospects of the Company, in the aggregate.
