The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

The Company has not entered into nor will and the Company on or will not after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in pursuant to this Agreement or otherwise conflicts with the provisions hereofof this Agreement. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's ’s other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will and the Company on or will not after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Initial Purchasers and Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will and the Company on or will not after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.. 5.3

The Company has not entered into nor will and the Company on or will not after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and with, or are not inconsistent with with, the rights granted to the holders of the Company's ’s other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will the Company on or after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities Holder in this Agreement or which otherwise conflicts with the provisions hereof. The rights granted to the Holders Holder hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements. The Company will not grant any registration rights under the Securities Act or any state securities laws without the prior written consent of the Holder.

The rights granted to the Holders of Registrable Securities hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Trust and the Company has have not entered into nor will into, and the Trust and the Company on or will not after the date of this Agreement enter into into, any agreement which is inconsistent with the rights granted to the Holders of Registrable Preferred Securities in this Agreement or which otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Trust's or the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will the Company into, -------------------------- and on or after the date of this Agreement will not enter into into, any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The Company has not entered into nor will the Company into, and on or after the date of this Agreement will not enter into into, any agreement which that is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's or the Trust's other issued and outstanding securities under any such agreements.

The Company has not entered into nor will not, as of the Company date hereof, and shall not, on or after the date of this Agreement Agreement, enter into any agreement with respect to its securities which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereofAgreement. The Company represents and warrants that the rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such other agreements.

The Company has not entered into nor will the Company into, and on or after the date of this Agreement will not enter into into, any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's ’s other issued and outstanding securities under any such agreements.. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will the Company on or after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities Debentures in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will the Company into, and on or after the date of this Agreement will not enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has will not entered into nor will the Company on or after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Warrants and Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities securities, if any, under any such agreements.

No Inconsistent Agreements. The Company has not entered into nor will and the Company on or will not after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Transfer Restricted Securities in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not and will not for the term of this Agreement in any way conflict with and with, or are not inconsistent with with, the rights granted to the holders of the Company's ’s other issued and outstanding securities under any such agreements.

No Inconsistent Agreements. The Company has agrees that it will not entered into nor will the Company on or after the date of this Agreement enter into any agreement which is inconsistent with the rights granted to the Holders of Registrable Securities Warrants or Warrant Shares in this Agreement or otherwise conflicts with the provisions hereof. The Company represents that the rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's other issued and outstanding securities under any such agreementsagreements after giving effect to any consents and amendments received on or prior to the date hereof.
