No Immunity. None of the Company or its Subsidiaries or any of their respective properties, assets or revenues has any right of immunity, under the laws of the Cayman Islands, the PRC, the State of New York, or the State of Florida, from any legal action, suit or proceeding, the giving of any relief in any such legal action, suit or proceeding, set-off or counterclaim, the jurisdiction of any Xxxxxx Xxxxxxx, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx federal court, service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s Warrants; and, to the extent that the Company or any of its Subsidiaries or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrants.

No Immunity. No Immunity. No Immunity. No Immunity. None of the Company or its Subsidiaries Issuer, the Guarantor, any other member of the Group, or any of their respective properties, assets or revenues has is subject to any right of immunity, or immunity under the laws of the Cayman Islands, the PRC, the State of New York, or the State of Florida, any jurisdiction from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Xxxxxx Xxxxxxx, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx federal court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, court with respect to its their respective obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s Warrantsherewith; and, to the extent that the Company or Issuer, the Guarantor, any other member of its Subsidiaries the Group, or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by the Transaction Documents, may at any time be commenced, each the Issuer and the Guarantor have, pursuant to Section 16(d) of this Agreement, waived, and it will waive, or will cause any other member of the Company and its Subsidiaries waives or will waive Group to waive, such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrantslaw.

No Immunity. None of Neither the Company or its Subsidiaries or nor any of its subsidiaries or their respective propertiesproperties or assets has immunity under French law, assets U.S. federal or revenues has any right of immunity, under the laws of the Cayman Islands, the PRC, the State of New York, or the State of Florida, York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Xxxxxx Xxxxxxx, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx federal French court, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, court with respect to its their respective obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s Warrantsherewith; and, to the extent that the Company or any of its Subsidiaries subsidiaries or any of their respective its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by the Transaction Documents, may at any time be commenced, each of the Company has, pursuant to Section 16(e) of this Agreement, waived, and its Subsidiaries waives it will waive, or will waive cause its subsidiaries to waive, such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrantslaw.

None Neither the Company, nor any of the Company its subsidiaries or its Subsidiaries or VIEs nor any of their respective properties, assets or revenues has any right of immunity, immunity under the laws of the Cayman Islands, Hong Kong, the PRC, PRC or the State of New York, or the State of Florida, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Xxxxxx Xxxxxxx, Xxxx Xxxx, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx Xxxx or U.S. federal court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, with respect to its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s WarrantsDeposit Agreement; and, to the extent that the Company Company, or any of its Subsidiaries subsidiaries or VIEs or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings may at any time be commenced, each of the Company and its Subsidiaries subsidiaries and VIEs waives or will waive such right to the extent permitted by law and has consented to such relief and enforcement as provided in Section 19 of this Agreement, the Escrow Agreement and Section 7.6 of the Representative’s WarrantsDeposit Agreement.

None of Neither the Company or its Subsidiaries or nor any of its subsidiaries or their respective properties, properties or assets or revenues has any right of immunity, immunity under the laws Isle of the Cayman IslandsMan, the PRC, the State of U.S. federal or New York, or the State of Florida, York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Xxxxxx XxxxxxxIsle of Man, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, court with respect to its their respective obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s Warrantsherewith; and, to the extent that the Company or any of its Subsidiaries subsidiaries or any of their respective its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, may at any time be commenced, each of the Company has, pursuant to Section 18 of this Agreement, waived, and its Subsidiaries waives it will waive, or will waive cause its subsidiaries to waive, such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrantslaw.

Certain confidential information contained in this Agreementdocument, marked by [***], has been omitted because Iris Energy Limited (the Escrow Agreement “Company”) has determined that the information (i) is not material and the Representative’s Warrants(ii) contains personal information.

No Immunity. None of the Company or its Subsidiaries subsidiaries is subject to any right or immunity under any civil or commercial law with respect to their respective obligations under the Transaction Documents, and none of the Company, any of its subsidiaries, or any of their respective properties, assets or revenues has is subject to any right of immunity, or immunity under the laws of the Cayman IslandsColombia, Panamá, the PRCUnited States of America (each, a “Relevant Jurisdiction” and together the State of “Relevant Jurisdictions”) or any political subdivision thereof including U.S. federal and New YorkYork state, or the State of Florida, any other applicable jurisdiction from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Xxxxxx Xxxxxxxcourt in any Relevant Jurisdiction, XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx federal court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court, court with respect to its their respective obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, the Escrow Agreement or the Representative’s Warrantsherewith; and, to the extent that the Company or Company, any of its Subsidiaries subsidiaries, or any of their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by the Transaction Documents, may at any time be commenced, each of the Company has, pursuant to Section 18(g) of this Agreement, waived, and its Subsidiaries waives it will waive, or will waive cause its subsidiaries to waive, such right to the extent permitted by law and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrantslaw.
