No Hiring. During the two-year period immediately following the Termination Date, Executive shall not employ or retain (or participate in or arrange for the employment or retention of) any person who was employed or retained by the Company or any of its affiliates within the one (1) year period immediately preceding such employment or retention.
No Hiring. Executive further agrees that he will not, directly or indirectly, solicit the employment, consulting or other services of any other employee or independent producer of any USI Company or otherwise induce any of such employees to leave such USI Company's employment or to breach an employment or independent producer agreement therewith. The restrictions contained in this Section 7.3 shall apply throughout the Term hereof and thereafter until two (2) years following the date on which Executive's employment with USI and the Company or their respective successors in interest terminates.
No Hiring. Executive further agrees that he will not, directly or indirectly, solicit the employment, consulting or other services of, or hire, any other employee of any IGI Company or otherwise induce any of such employees to leave such IGI Company’s employment or to breach an employment or independent contractor agreement therewith. The restrictions contained in this Section 7.2 shall apply throughout the Term hereof and thereafter until twenty-four (24) months following the date on which Executive is no longer employed by any IGI Company.
No Hiring. During the Employment Period and for 12 months thereafter, you agree not to employ or retain, have any other person or firm employ or retain, or otherwise participate in the employment or retention of any person who was an employee or consultant of Agilysys at any time during the 12 months preceding the end of the Employment Period.
No Hiring. Client agrees that the personnel of Winmill as well as the personnel of any Service Provider are critical to Winmill and the Service Provider’s ability to provide services. Therefore, Client agrees not to solicit, make offers of employment, or hire in any capacity, either directly or indirectly, or enter into any consulting relationships or agreements with, any Winmill or Service Provider associated with this Agreement during the term of this Agreement and for a period of one (1) year thereafter. If Client violates this prohibition, Client shall immediately pay to Winmill an amount equal to twice the annual compensation of the Winmill personnel solicited or hired, or the amount Winmill would then be liable to the Service Provider pursuant to any agreement with it.
No Hiring. Independent of the foregoing provisions, the Executive agrees that, during the Restricted Period, the Executive will not in any manner hire, engage, retain or employ any person engaged or employed by the Company on the date of termination, or engaged or employed by the Company within the twenty four-month period prior to the date of termination (whether part-time or full-time and whether as an officer, employee, consultant (other than legal or accounting advisors), agent, adviser or independent contractor) (a “Company Employee”) (whether or not for compensation) as an officer, employee, consultant, agent, adviser or independent contractor for any Person other than the Company. Upon termination of this Agreement, the Company shall prepare a schedule of the Company Employees.
No Hiring. During the Non-Competitive Period, Employee will not knowingly (i) hire or attempt to hire any employee of the Company or of any of the Company's subsidiaries or affiliated entities (if any); (ii) assist in such hiring by any other person; or (iii) encourage any such employee to terminate his employment with the Company or any of such subsidiaries or affiliated entities.
No Hiring. Client agrees that the personnel of Winmill as well as the personnel of any Service Provider are critical to Winmill and the Service Provider’s ability to provide services. Therefore, Client agrees not to solicit, make offers of employment, or hire in any capacity, either directly or indirectly, or enter into any consulting relationships or agreements with, any Xxxxxxx or Service Provider associated with this Agreement during the term of this Agreement and for a period of one (1) year thereafter. If Client violates this prohibition, Client shall immediately pay to Xxxxxxx an amount equal to twice the annual compensation of the Xxxxxxx personnel solicited or hired, or the amount Xxxxxxx would then be liable to the Service Provider pursuant to any agreement with it.
No Hiring. During the time of your employment with the Company and for 241 months thereafter, you agree not to employ or retain, have any other person or firm employ or retain, or otherwise participate in the employment or retention of any person who was an employee or consultant of Agilysys at any time during the twenty-four months preceding the end of your employment with the Company, provided that it will not be a violation of this Section 9.B. if an enterprise with which you are affiliated employs any such employee or consultant so long as you are not directly or indirectly involved in such action, or you receive the Company’s consent in writing.
No Hiring. For a period of 12 months following the Effective Date, each of Chronimed and MGI shall not employ any employee of the other without the written consent of the other party.
