No Governmental Approvals Required. Except as set forth in ---------------------------------- ------ Schedule 4.3 or previously obtained or made, no authorization, consent, approval, order, license or permit from, or filing, registration or qualification with, any Governmental Agency is or will be required to authorize or permit under applicable Laws the execution, delivery and performance by Borrower and its Restricted Subsidiaries of the Loan Documents to which it is a Party. Except as set forth in Schedule 4.3, all authorizations from, or filings ------ with, any Governmental Agency described in Schedule 4.3 will be accomplished as of the Closing Date. The Banks acknowledge that Atlantic City is not presently required to hold any gaming licenses.
