No Fractional Warrants. The Company shall not issue fractional Warrants. If a holder of Warrants would be entitled to receive a fractional Warrant, the Company shall round down to the nearest whole number the number of Warrants to be issued to such holder.

No Fractional Warrants. The Company shall not be required to effect any registration of transfer or exchange which shall result in the issuance of a Definitive Warrant Certificate for a fraction of a Warrant.
No Fractional Warrants. Pubco shall not issue fractional Warrants. If a holder of Warrants would be entitled to receive a fractional Warrant, Pubco shall round down to the nearest whole number the number of Warrants to be issued to such holder.
No Fractional Warrants. The Company shall not issue fractional Warrants. The distribution of the approximately 7,353,000 Warrants (subject to rounding, as described in this Section 2.4), prior to the closing of the Business Combination (as defined below) to be paid to the certain holders of record of Common Stock (being the Historical Rollover Shareholders), on a pro rata basis (or on as nearly a pro rata basis as is practicable, subject to the rules of any securities depositary in such a manner, including rounding, as to result in the distribution of whole numbers of Warrants and to avoid any distribution of fractional Warrants). If a holder of Warrants would otherwise be entitled to receive a fractional Warrant, the Company shall round up or down to the nearest whole number of Warrants to be issued to such holder, with a fraction of 0.5 rounded up.
No Fractional Warrants. No Warrant Certificate representing a fractional Warrant shall be issued or otherwise provided for, and a holder of a Warrant Certificate shall not be entitled to subscribe for or purchase a fractional Common Share or be entitled to any cash or other consideration such holder might otherwise be entitled to based upon the holding of such Warrant Certificate. If the number of Warrants to which a Warrantholder would otherwise be entitled is not a whole number, then the number of Warrants to be issued to such Warrantholder shall be rounded down to the next whole number and the Warrantholder shall not be entitled to any compensation in respect of such fractional Warrant.
No Fractional Warrants. Shelf shall not issue fractional Warrants. If, upon the detachment of Company’s Public Warrants from Units or otherwise, a holder of the Warrants would be entitled to receive a fractional Warrant, Shelf shall round down to the nearest whole number the number of Warrants to be issued to such holder.
No Fractional Warrants. The Company shall not issue fractional Warrants other than as part of the Units, each of which is comprised of one share of Class A common stock, one-sixth of one whole Detachable Redeemable Warrant and the contingent right to receive Distributable Redeemable Warrants (as set forth above). If, upon the detachment of the Detachable Redeemable Warrants from the Units, the issuance of the Distributable Redeemable Warrants, the issuance of the Forward Purchase Private Placement Warrants, or otherwise, a holder would be entitled to receive a fractional Warrant, the Company shall round down to the nearest whole number the number of Warrants to be issued to such holder.
No Fractional Warrants. Section 2.5 of the Existing Warrant Agreement is hereby deleted and replaced with the following: “No Fractional Warrants. The Company shall not issue fractional Warrants.”
