No Existing Claims. Employee acknowledges and agrees that, to Employee’s knowledge, Employee has not been subjected or exposed to unlawful treatment, harassment or discrimination, or been denied any statutory or other legal rights, by the Company during or in connection with Employee’s employment with the Company.
No Existing Claims. I confirm that no claim, charge, or complaint against the Released Parties exists before any federal, state, or local court or administrative agency.
No Existing Claims. Xxxxxxxx warrants that neither Xxxxxxxx nor his successors, heirs, administrators, executors, assigns, attorneys, agents, or representatives have (1) filed, or intend to file, any complaints, charges, grievances, or lawsuits against releasees, or any other person or entity which is released by this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States, (2) commenced, or intend to commence, any arbitration or other dispute resolution process, and Xxxxxxxx for herself, his successors, heirs, administrators, executors, assigns, attorneys, agents, and representatives, warrants that they will not do so at any time hereafter, and that if any such other complaint, charge, lawsuit, or arbitration has been filed, it will be immediately dismissed with prejudice.
No Existing Claims. Xxxxxx warrants that neither Xxxxxx nor his successors, heirs, administrators, executors, assigns, attorneys, agents, or representatives have any existing claims against LS&Co., or any of its present or former employees, and have not (1) filed, nor intend to file, any complaints, charges, grievances, or lawsuits against releasees, or any other person or entity which is released by this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States, (2) commenced, nor intend to commence, any arbitration or other dispute resolution process. Xxxxxx for himself, his successors, heirs, administrators, executors, assigns, attorneys, agents, and representatives, warrants that they will not do so at any time hereafter, and that if any such other complaint, charge, lawsuit, or arbitration has been filed, it will be immediately dismissed with prejudice.
No Existing Claims. Sucampo represents, warrants and covenants that, to its knowledge, as of the Effective Date, Sucampo Patent Rights and Product Trademarks are valid and in good standing, all assignments for patents and patent applications have been appropriately obtained and recorded, all inventors have been correctly and appropriately listed, and no inventorship disputes exist. There is, to Sucampo’s knowledge, as of the Effective Date, no claim or demand of any Person pertaining to, or any proceeding which is pending or threatened that challenges Sucampo’s interest in the Sucampo Patent Rights or Product Trademarks or makes any adverse claim of ownership thereof. To Sucampo’s knowledge, as of the Effective Date, none of the relevant Patent Rights and Trademarks in the Sucampo Patent Rights and Product Trademarks are the subject of any pending or threatened, adverse claim, judgment, injunction, order, decree or agreement restricting its use in connection with the Product in the Field in the Territory.
No Existing Claims. Boey warrants that neither Boey nor his successors, heirs, administrators, executors, assigns, attorneys, agents, or representatives have any existing claims against LS&Co., or any of its present or former employees, and have not (1) filed, nor intend to file, any complaints, charges, grievances, or lawsuits against releasees, or any other person or entity which is released by this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States, (2) commenced, nor intend to commence, any arbitration or other dispute resolution process. Boey for himself, his successors, heirs, administrators, executors, assigns, attorneys, agents, and representatives, warrants that they will not do so at any time hereafter, and that if any such other complaint, charge, lawsuit, or arbitration has been filed, it will be immediately dismissed with prejudice.
No Existing Claims. Read warrants that neither Read nor any of the Read Releasees has any existing claims against Ecotality, or any of its present or former employees, and neither Read nor any of the Read Releasees has filed any complaints, charges, grievances, or lawsuits against any Ecotality Releasees, or any other person or entity which is released by this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States. Ecotality warrants that neither Ecotality nor any of the Ecotality Releasees has any existing claims against Read, and neither Ecotality nor any of the Ecotality Releasees has filed any complaints, charges, grievances, or lawsuits against any Read Releasees, or any other person or entity which is released by this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States.
No Existing Claims. Employee represents and warrants that neither Employee nor Employee’s successors, heirs, administrators, executors, assigns, attorneys, agents or other representatives has: (1) currently filed, or intends to file, any complaints, charges, grievances or lawsuits against Company or any of the Released Parties, with any federal, state or other court or agency in any jurisdiction in the United States, and that if any such claim was filed, it has been dismissed and/or withdrawn; or (2) commenced, or intends to commence, any arbitration or other dispute resolution involving Company or any of the Released Parties.
No Existing Claims. Lxxxx warrants that neither he nor any entity Lxxxx controls has any existing claims against BDIC, or any of its present or former employees, and neither Lxxxx nor any entity Lxxxx controls has filed any complaints, charges, grievances, or lawsuits against BDIC with any federal, state, or other court or agency in any jurisdiction inside or outside the United States.
No Existing Claims. Xxxxxx warrants that he has no existing claims against Cyanotech or any of the other Cyanotech Releasees, and that he has not filed any complaints, charges, grievances, or lawsuits against any Cyanotech Releasees, or any other person or entity which is released by the General Release contained in this Agreement, with any federal, state, or other court or agency in any jurisdiction inside or outside the United States.
