Common use of No Encumbrances Clause in Contracts

No Encumbrances. Except as permitted by this Agreement, the Existing Shares and the certificates representing the Existing Shares are now, and at all times during the term hereof will be, held by the Shareholder, or by a nominee or custodian for the benefit of the Shareholder, free and clear of all Encumbrances, proxies, voting trusts or agreements, understandings or arrangements or any other rights whatsoever, except for any such Encumbrances or proxies arising hereunder.

No Encumbrances. Except as permitted by this Agreement, the Existing Shares and the certificates representing the Existing such Shares are now, and at all times during the term hereof will be, held by the Shareholdersuch Stockholder, or by a nominee or custodian for the benefit of the Shareholdersuch Stockholder, free and clear of all Encumbrances, proxies, voting trusts or agreements, understandings or arrangements or any other rights whatsoever, except for any such Encumbrances or proxies arising hereunder.
