Common use of No Duty Clause in Contracts

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, any Lender or Lender, L/C Issuer or Swing Line Lender shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer Swing Line Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Arranger, Administrative Agent, any Lender Lender, or L/C Issuer shall have the right to act exclusively in the interest of the Arranger, Administrative Agent or Agent, such Lender Lender, or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower any Loan Party or any of BorrowerLoan Party’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or the Borrower, any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, its respective Equity Interest holders or any other Person.

All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or the Borrower, any other Loan Party, any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, their respective Equity Interest holders or any other Person.

All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or Agent, such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower or any other Loan Party or any of such Borrower’s or such other Loan Party’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower the Borrower, any Subsidiary or any of the Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, 's shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent, any Lender or L/C Issuer Agent and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower the Borrower, any Loan Party or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, their respective Affiliates or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or any Borrower, any other Loan Party, any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, their respective Equity Interest holders or any other Person.

All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative AgentAgent except for gross negligence, any Lender willful misconduct or L/C Issuer fraud, shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer the person who hired them and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or Parent, any Borrower, any holders of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, Equity Interests of any Obligor or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, agents or any other Person.

No Duty. All attorneys, accountants, appraisers, consultants and other professional Persons and consultants retained by Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest interests of Administrative Agent or such Lender or L/C Issuer Lender, respectively, and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower Borrower, any Operating Subsidiary or any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, other Consolidated Subsidiary or its stockholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent or such Lender or L/C Issuer and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower or theany Borrower, any other Loan Party, any of Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by Administrative Agent, Agent or any Lender or L/C Issuer shall have the right to act exclusively in the interest of Administrative Agent or such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower or any of Borrower’s Borrowers’ equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.
