No Corruption. Neither the Customer nor any employee or agent of the Customer shall offer, give or agree to give to the Council, its staff or agents any inducement or reward for doing or refraining from doing or having done or refrained from doing any act in relation to the obtaining or execution of this Contract or any other agreement or for showing or refraining from showing any favour or disfavour to any person in relation to this Contract or any other agreement.
No Corruption. Neither the Company nor any of its Subsidiaries or any of the officers, employees, directors, representatives or agents thereof, has made, offered or promised any bribe, rebate, payoff, influence payment, kickback or other unlawful payment of funds or received or retained any funds in violation of any Law, or is currently offering, promising, authorizing or making, directly or indirectly, or will in the future knowingly offer, promise, authorize or make, directly or indirectly, payments or other inducements to any Official (as defined below) in order to assist the Company or any of its Subsidiaries to obtain or retain business for or with, or directing business to, any Person, in any case in violation of the United States Foreign Corrupt Practices Act or other applicable Laws. For the purposes of this section, “Official” means an employee of a Governmental Authority, an official, a member of a political party, a political candidate, an officer of a public international organization, or an officer or employee of a state-owned enterprise.

Company further represents, warrants and covenants that neither it, nor any of its employees, have provided or offered, or will provide or offer, any illegal or improper bribe, kickback, payment, gift or anything of value (but excluding any reasonable and ordinary business entertainment or gifts of an unsubstantial value, that are customary in local business relationships and permitted by applicable law) to Samsung, Customers or their respective directors, officers, employees and representatives in connection with this Agreement, the applicable Purchase Order or any sale of the XXXX Solutions hereunder. For the avoidance of doubt, any violation of this Section 8.2 shall be deemed to be a material breach of this Agreement.

Contractor further represents, warrants and covenants that, to its knowledge, neither it nor any of the Contractor personnel has offered, promised, made or authorized to be made, or provided any contribution, thing of value or gift, or any other type of payment to, or for the private use of, directly or indirectly, any Official for the purpose of influencing or inducing any act or decision of the Official to secure an improper advantage in connection with, or in any way relating to, (i) any government authorization or approval involving One Web, or (ii) the obtaining or retention of business by OneWeb. Contractor further represents, warrants and covenants that it will not in the' future offer, promise, make or otherwise allow to be made or provide any such payment and that it will take all lawful and necessary actions to ensure that no such payment is promised, made or provided in the future by any of the Contractor personnel. Contractor may be required to attend OneWeb Anti-Corruption training. For the avoidance of doubt any violation of this Section shall be deemed to be a material breach of this Agreement.
