Common use of No Consent or Approval Required Clause in Contracts

No Consent or Approval Required. No consent, approval or authorization of, or declaration to or filing with, any Person is required by the Company for the valid authorization, execution and delivery by the Company of the Transaction Documents or for the consummation of the transactions contemplated hereby or thereby, other than (a) those consents, approvals, authorizations, declarations or filings that have been obtained or made, as the case may be, and (b) filings pursuant to federal or state securities and any other applicable laws (all of which filings have been made by the Company, other than those which are required to be made after the Closings and which will be duly made in accordance with time periods under applicable laws) in connection with the sale of the Notes and the Warrants.
