No Commission Stop Order. At the Closing Date and on each Option Closing Date, the Commission has not issued any order or threatened to issue any order preventing or suspending the use of any Preliminary Prospectus, the Prospectus or any part thereof, and has not instituted or, to the Company’s knowledge, assuming reasonable inquiry, threatened to institute any proceedings with respect to such an order. To the Company’s knowledge, no order suspending the sale of the Units shall have been issued in any jurisdiction within which Units are intended to be sold in the Offering on either the Closing Date or the Option Closing Date, and (ii) no proceedings for the purpose of issuing such a suspension order shall have been instituted or contemplated.
