Common use of No Claims Clause in Contracts

No Claims. No Claims shall be pending or, to the knowledge of the Buyer or the Company, threatened, before any Governmental Body to restrain or prohibit, or to obtain damages or a discovery order in respect of, this Agreement or the consummation of the Contemplated Transactions or which has had or may have, in the reasonable judgment of the Buyer, a materially adverse effect on the Condition of the Company.

No Claims. No Claims shall be pending or, to the knowledge of the Buyer Purchaser or the Company, threatened, before any Governmental Body Authority (including investigations instituted by the United States Department of Justice or the Federal Trade Commission in connection with antitrust regulations) to restrain or prohibit, or to obtain damages or a discovery order in respect of, this Agreement or the consummation of the Contemplated Transactions or which has had which, individually or may have, in the reasonable judgment of the Buyeraggregate, would reasonably be expected to result in a materially adverse effect Material Adverse Effect on the Condition of the Company.

No Claims. No Claims shall be pending or, to the knowledge of the Buyer Sellers or the Company, Company threatened, before any Governmental Body to restrain or prohibit, or to obtain damages or a discovery order in respect of, this Agreement or the consummation of the Contemplated Transactions or which has had or may have, in the reasonable judgment of the Buyer, a materially adverse effect on the Condition of the CompanyTransactions.
