No order preventing, ceasing or suspending trading in any securities of the Corporation or prohibiting the issue and sale of securities by the Corporation has been issued and no proceedings for either of such purposes have been instituted or, to the best of the knowledge of the Corporation, are pending, contemplated or threatened.

No order preventing, ceasing or suspending trading in any securities of enCore or prohibiting the issue and sale of securities by enCore is issued and outstanding and no proceedings for either of such purposes have been instituted or, to the best of the knowledge of enCore, are pending, contemplated or threatened.

No order ceasing or suspending trading in the Common Shares nor prohibiting the sale of such securities has been issued by any securities commission to American Lithium or its directors, officers or promoters which is currently in effect, and to the best of American Lithium’s knowledge, no such investigations or proceedings for such purposes are pending or threatened.

No order, ruling or determination having the effect of suspending the distribution or ceasing the trading of the Offered Securities or any other securities of the Fund or suspending or preventing the use of any Offering Document will have been issued or made and no proceedings therefore will have been initiated or threatened by any Governmental Authority.

On the Effective Date, no cease trade order or similar restraining order of any other securities administrator relating to the Schyan Common Shares, the Subordinate Voting Shares, the Multiple Voting Shares, the Super Voting Shares or the shares of Company Common Stock shall be in effect.
