Neither Pubco nor Subco-RI is subject to any cease trade or other order of any applicable stock exchange or Securities Authority and, to the knowledge of Pubco and Subco-RI, no investigation or other proceeding involving either Pubco or Subco-RI which may operate to prevent or restrict trading of any securities of Pubco or Subco-RI is currently in progress or pending before any applicable stock exchange or Securities Authority.
No Cease Trade. No Securities Regulator or any similar regulatory authority in any jurisdiction has issued any order, ruling or determination which is currently outstanding preventing, ceasing or suspending trading in any securities of the Corporation or prohibiting the issuance or sale of securities by the Corporation, including the Offered Securities, and no proceedings for either of such purposes have been instituted or are pending or, to the knowledge of the Corporation, are contemplated or threatened.
No Cease Trade. New Gold is not subject to any cease trade or other order of any applicable stock exchange or Securities Authority and, to the knowledge of New Gold, no investigation or other proceedings involving New Gold that may operate to prevent or restrict trading of any securities of New Gold are currently in progress or pending before any applicable stock exchange or Securities Authority.
No Cease Trade. Primero is not subject to any cease trade or other order of any applicable stock exchange or Securities Authority and, to the knowledge of Primero, no investigation or other proceedings involving Primero that may operate to prevent or restrict trading of any securities of Primero are currently in progress or pending before any applicable stock exchange or Securities Authority.
No Cease Trade. No order preventing, ceasing or suspending trading in any securities of Purchaser or prohibiting the issue and sale of securities by Purchaser has been issued and no proceedings for any of such purposes have been instituted or are pending or, to the knowledge of Purchaser, are contemplated or threatened.
No Cease Trade. Alamos is not subject to any cease trade or other order of the TSX, NYSE, any Securities Authority or the SEC, and, to the knowledge of Alamos, no investigation or other proceedings involving Alamos that may operate to prevent or restrict trading of any securities of Alamos are currently in progress or pending before the TSX, NYSE, any Securities Authority or the SEC.
No Cease Trade. The Purchaser is not subject to any cease trade or other order of the applicable Exchange or other securities authority and, to the knowledge of the Purchaser, no investigation or other proceedings involving the Purchaser that may operate to prevent or restrict trading of any securities of the Purchaser are currently in progress or pending before the applicable Exchange or other securities authority.
No Cease Trade. No securities of Vitran are subject to any cease trade or other order, ruling or determination of any applicable stock exchange or Securities Authority and, to the knowledge of Vitran, no investigation or other proceedings involving Vitran which may operate to prevent or restrict trading of any securities of Vitran are currently in progress or pending before any applicable stock exchange or Securities Authority.
No Cease Trade. Yamana is not subject to any cease trade or other order of any applicable stock exchange or Securities Authority and, to the knowledge of Yamana, no investigation or other proceedings involving Yamana which may operate to prevent or restrict trading of any securities of Yamana are currently in progress or pending before any applicable stock exchange or Securities Authority.
No Cease Trade. The Acquiror is not subject to any cease trade or other order of any applicable Securities Authority and, to the knowledge of the Acquiror, no investigation or other proceedings involving the Acquiror which may operate to prevent or restrict trading of any securities of the Acquiror are currently in progress or pending before any applicable Securities Authority.
