No Business Operations. Occupant shall not operate a business in the Space or on the Premises.

Without limiting the generality of the foregoing, except as set forth in Schedule 4.2(i), the Company: (A) has never owned or had any interest in any real property and does not currently own or have any interest in any material equipment, machinery or tangible or intangible personal property; (B) does not currently have any outstanding Indebtedness; (C) is not a party to or bound by any Contract; (D) does not currently have, and has never had, any employees; (E) is not currently the sponsor of or bound by, and has never been a sponsor of or bound by, any Employee Plan; (F) does not maintain any insurance policies for itself or any of its officers or directors; (G) does not maintain any bank accounts or safe deposit boxes with any financial institution; and (H) does not have any customers or material Atlanta MDS Co., Inc. suppliers. In addition to any matters described above, Schedule 4.2(i) contains a list of the Company’s current officers and directors.
No Business Operations. Except for transfer agent fees and escrow agent fees pursuant to agreements with the Transfer Agent, as well as legal, accounting, and other fees and expenses in connection with Heritage remaining as a reporting issuer in British Columbia, Alberta and Ontario and as a company incorporated under the BCBCA, none of the Heritage Group has any agreements, contracts, undertakings or commitments whatsoever of any kind, and Heritage is not a party to, or bound or affected by, any Contract containing any covenant expressly limiting its respective abilities to compete in any line of business, or transfer or move any of its assets or operations.

No Business Operations. (a) Except as provided on Schedule 4.8, the Company has not engaged in any activities since its formation other than those incidental to its organization.

Although Yabbly owns certain Intellectual Property and other assets, tangible and intangible, Yabbly (a) does not employ, nor has it ever employed, any employees and (b) is not a party to any contract, except as reflected on Schedule 4.6 or another Schedule to this Agreement.

Purchaser has not engaged in any business operations, and has not entered into any contracts, agreements or indentures, or incurred any other material obligations, other than as expressly contemplated pursuant to this Agreement and the other Operative Documents. Purchaser has no Subsidiaries, and owns no interest in any entity or business venture.

Seller has no Subsidiaries, and owns no interest in any entity or business venture. Seller is not an "investment company" registered or required to be registered under the Investment Company Act, or a company under the "control" of an "investment company" as those terms are defined in such Act. Further, Seller is not a "holding company", or a "subsidiary company" of a "holding company", or an "affiliate" of a "holding company", or a "subsidiary company" of a "holding company" within the meaning of the PUHCA.
