No agent, broker, investment banker, finder, financial advisor or other person Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’s fee or any other commission or similar fee as a result of actions taken by the Buyer, directly or commissionindirectly, as a result of, or the reimbursement of expenses, in connection with the Subscription based upon arrangements made transactions contemplated by or on behalf of the Company or its Subsidiariesthis Agreement.

No Brokers. No broker, investment banker, financial advisor or other person Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, commission in connection with the Subscription transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Company or its SubsidiariesBuyer, except those for which Buyer will be solely responsible.

No Brokers. No broker, investment banker, financial advisor banker or other person Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, commission in connection with the Subscription execution and delivery of this Agreement or any of the other Transaction Agreements or the consummation of any of the Transactions based upon arrangements made by or on behalf of the Company, and the Company shall indemnify and hold the Investors harmless against any claim for any such fee or its Subsidiariescommission based on any such arrangements.

No Brokers. No broker, investment banker, financial advisor broker, finder, consultant or intermediary or other person Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, in connection with the Subscription commission based upon arrangements made by or on behalf of the Company or Investor in connection with its Subsidiariesentering into this Agreement.

No Brokers. No broker, investment banker, financial ---------- advisor or other person is entitled to any broker’s's, finder’s's, financial advisor’s adviser's or other similar fee or commissioncommission from Parent, Purchaser or the reimbursement of expenses, Company in connection with the Subscription transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder, except as otherwise specifically provided in the Company Merger Agreement or made by or on behalf of Parent or Purchaser or its Subsidiariesauthorized representatives.

No Brokers. No broker, investment banker, financial advisor or other person is entitled to any broker’s, finder’s, financial advisor’s advisory or other similar fee or commission, or the reimbursement of expenses, commission in connection with the Subscription transactions contemplated hereby based upon arrangements made by or on behalf of the Company or its Subsidiariessuch Stockholder.

No Brokers. No broker, investment banker, financial advisor or other person Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, commission in connection with this Agreement or the Subscription Transaction based upon arrangements made by or on behalf of Seller. The Sellers make no representation with respect to any arrangement with any broker, investment banker or financial advisor by which the Company or its Subsidiariesis bound.

No Brokers. No agent, broker, investment banker, financial advisor Person or other person firm is or shall be entitled to any broker’s, finder’s, financial advisor’s or finder’s fee or any other commission or similar fee directly or commission, or the reimbursement of expenses, indirectly in connection with the Subscription transactions contemplated by this Agreement based upon arrangements in any way on any arrangements, agreements or understandings made by or on behalf of the Company or any of its SubsidiariesAffiliates.

No Brokers. No broker, investment banker, financial advisor or other person Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, for which the Company will be liable in connection with the Subscription transactions contemplated by this Agreement based upon arrangements made by or and on behalf of the Company Parent or its SubsidiariesMerger Sub.

No broker, investment banker, financial advisor or other person person, other than the Financial Advisor, the fees and expenses of which will be paid by the Company in accordance with Company’s agreements with such firm (true and complete copies of which have heretofore been made available to the Subscriber), is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses, in connection with the Subscription based upon arrangements made by or on behalf of the Company or its Subsidiaries.

No broker, investment banker, financial advisor or other person similar intermediary is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, commission from Seller or the reimbursement any of expenses, its Affiliates in connection with this Agreement or the Subscription based upon arrangements made by or on behalf of the Company or its Subsidiariestransactions contemplated hereby.
