NO BREACH OF CONTRACT. Executive hereby represents to the Corporation that the execution and delivery of this Agreement by the Executive and the Corporation and the performance by the Executive of the Executive’s duties hereunder shall not constitute a breach of, or otherwise contravene, the terms of any other agreement or policy to which the Executive is a party or otherwise bound.

NO BREACH OF CONTRACT. The Executive hereby represents to the Corporation and warrants that the execution and delivery of this Amended Agreement by the Executive and the Corporation Company and the performance by the Executive of the Executive’s 's duties hereunder shall not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound.

The Executive hereby represents to the Corporation Company that the execution and delivery of this Agreement by the Executive after execution and delivery by the Corporation Company, and the performance by the Executive of the Executive’s duties hereunder hereunder, do not and shall not constitute a breach of, conflict with, or otherwise contravenecontravene or cause a default under, the terms of any other agreement or policy to which the Executive is a party or otherwise boundbound or any judgment, order or decree to which the Executive is subject.
