No Authorizations except as otherwise provided in this Agreement, no authorization, approval, order, licence, permit, consent, certificate or registration of any Governmental Authority, court, or arbitrator, and no registration, declaration or filing by the Purchaser with any Governmental Authority, court or arbitrator, is required in order for the Purchaser:
No Authorizations. No authorization, approval or other action by, and no notice to or filing with, any Governmental Authority or regulatory body is required for either (i) the pledge or grant by any Grantor of the security interest purported to be created in favor of the Administrative Agent hereunder or (ii) the exercise by the Administrative Agent of any rights or remedies in respect of any Collateral (whether specifically granted or created hereunder or created or provided for by applicable law), except as may be required, in connection with the disposition of any Investment Related Property, by laws generally affecting the offering and sale of Securities.
No Authorizations. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority exercising jurisdiction over Contractor is required for the execution and delivery by Contractor of the Agreement, or the performance of its obligations under the Agreement.
No Authorizations. No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body or of stockholders is required for the due execution, delivery and performance by the Borrower of any Loan Document.
No Authorizations. No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body or any other third party is required for the due execution and delivery by the Borrower of this Conditional Forbearance.
No Authorizations. No authorizations or approvals or other action by, and no notice to or filing with, any Governmental Authority exercising jurisdiction over Canadian Natural is required to enable the due execution and delivery by Canadian Natural of the Agreement.
No Authorizations. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority exercising jurisdiction over Owner is required to enable the due execution and delivery by Owner of this Agreement.
No Authorizations. No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body exercising jurisdiction over the Assets or it is required for the due execution, delivery and performance by it of this Agreement, other than the approval of ARE and EGPC of the transaction contemplated herein as required by the Concessions and the authorizations, approvals or exemptions previously obtained and currently in force;
No Authorizations. Except for authorizations, consents, or approvals of the Guarantor or the CDFI Fund contemplated by this Agreement to Guarantee or other Bond Documents, no authorization, consent or approval of, or filing or registration with, any court or Governmental Authority is or will be necessary under law existing on the date of which this representation and warranty is made, for the valid execution, delivery or performance by the Qualified Issuer of this Agreement to Guarantee (or of any transaction contemplated by this Agreement to Guarantee), or any Bond or Bond Loan, or if necessary, such authorization, consent, approval, filing or registration has been or will be duly obtained or made prior to the execution of this Agreement to Guarantee or the issuance of any Bond or the making of any Bond Loan, as the case may be. Copies evidencing such authorization, consent, approval, filing or registration shall have been or will be delivered to the CDFI Fund.
No Authorizations. No authorization, consent or approval of, or filing or registration with, any court or Governmental Authority is or will be necessary under law existing on the date of which this representation and warranty is made, for the valid execution, delivery or performance by the Qualified Issuer of this Agreement to Guarantee (or of any transaction contemplated by this Agreement to Guarantee), or any Bond or Bond Loan, or if necessary, such authorization, consent, approval, filing or registration has been or will be duly obtained or made prior to the execution of this Agreement to Guarantee or the issuance of any Bond or the making of any Bond Loan, as the case may be. Copies evidencing such authorization, consent, approval, filing or registration shall have been or will be delivered to the Guarantor.
