Common use of No Authorization Required Clause in Contracts

No Authorization Required. No authorization, approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required either (a) for the pledge by the Pledgor of the Pledged Collateral pursuant to this Agreement or for the execution, delivery or performance of this Agreement by the Pledgor or (b) for the exercise by the Collateral Agent of the voting or other rights provided for in this Agreement (except as may be required in connection with such disposition by laws affecting the offering and sale of securities generally and except for the filing of financing and/or continuation statements).

No authorization, approval approval, or other action by, and no notice to or filing with, any governmental authority or regulatory body is required either (a) for the pledge by the each Pledgor of the Pledged Collateral pursuant to this Agreement or for the execution, delivery or performance of this Agreement by the such Pledgor or (b) for the exercise by the Collateral Agent Bank of (x) the voting or other rights provided for in this Agreement or (except y) the remedies in respect of the Pledged Collateral pursuant to this Agreement, except, in the case of this clause 2.4(b)(y), as may be required in connection with a disposition of such disposition Pledged Collateral by laws affecting the offering and sale of securities generally and except for the filing of financing and/or continuation statements)generally.
